Aevum Zenth Conglomerate maintains zero tolerance for activities that compromise ethical standards, legal compliance, corporate reputation, or stakeholder trust. This policy applies universally across all 400+ subsidiaries, joint ventures, contractors, consultants, and third-party agents operating under the Aevum Zenth umbrella.
2. Anti-Corruption & Bribery
Strict adherence to the U.S. Foreign Corrupt Practices Act (FCPA), UK Bribery Act 2010, and all local anti-corruption statutes is mandatory.
Explicitly Prohibited:
- Paying, offering, or authorizing any facilitation payment, kickback, or improper benefit to public officials or private entities.
- Use of shell companies, unvetted intermediaries, or opaque financial channels to disguise illicit transfers.
- Excessive entertainment, gifts, or travel exceeding the $250 USD per-incident threshold without prior Compliance Office approval.
- Manipulation of procurement processes to favor undisclosed related parties.
3. Conflicts of Interest
Employees must act solely in the best interest of Aevum Zenth. Personal, financial, or familial interests must never influence corporate decision-making.
Requirements:
- Mandatory disclosure of outside employment, board memberships, equity holdings in competitors/vendors, and spousal/dependent business affiliations.
- Recusal from procurement, hiring, investment, or M&A discussions where personal stakes exist.
- Prohibition on soliciting or accepting business from current vendors/clients using company position.
4. Financial & Trading Integrity
All divisions must maintain transparent accounting practices and comply with SOX, IFRS/GAAP standards, and internal audit protocols.
- Insider trading, front-running, or misuse of material non-public information (MNPI) is strictly prohibited.
- Falsification of financial records, revenue recognition manipulation, or expense report inflation constitutes felony-level misconduct.
- Cryptocurrency trading or DeFi engagement using corporate funds requires explicit Treasury & Legal approval.
- All cross-border transactions exceeding $50K must undergo AML/KYC verification through Zenth Compliance Gateway.
5. Data Privacy & Cybersecurity
Aevum Zenth processes sensitive data across healthcare, finance, and defense sectors. Unauthorized access, transfer, or exposure violates this policy and applicable regulations (GDPR, CCPA, HIPAA, CMMC).
- Unapproved cloud storage, personal devices, or third-party SaaS tools for corporate data handling.
- Phishing simulation failures exceeding 3 strikes without remediation training.
- Exfiltration of proprietary datasets, customer PII, or government-classified materials to external servers.
- Disabling of endpoint protection, MFA, or encryption protocols on company-issued hardware.
6. EHS & Environmental Compliance
Sustainable operations are core to our mandate. Violations of environmental statutes or safety protocols endanger personnel and communities.
- Improper disposal of hazardous materials, e-waste, or chemical byproducts.
- Bypassing emissions controls, water treatment systems, or safety interlocks.
- Falsification of EHS incident reports or suppression of workplace injury data.
- Procurement of materials from entities with verified environmental or labor violations.
7. Workplace Conduct & Anti-Discrimination
Aevum Zenth fosters an inclusive, respectful environment. Zero tolerance applies to harassment, discrimination, or retaliation.
- Sexual harassment, intimidation, bullying, or discriminatory remarks based on protected characteristics.
- Retaliation against whistleblowers, reporters, or witnesses.
- Substance abuse on company premises or during work hours.
- Misuse of company resources for political campaigns, illegal organizations, or extremist activities.
8. Intellectual Property & Confidentiality
Protection of patents, trade secrets, software source code, and strategic roadmaps is critical.
- Unauthorized reverse engineering, cloning, or distribution of proprietary technology.
- Disclosing R&D milestones, M&A targets, or earnings guidance to media or investors outside IR channels.
- Retention of company IP on personal devices post-employment.
- Failure to properly mark or register inventions in accordance with Zenth Innovation Protocol v4.2.
9. Supply Chain & Vendor Compliance
All tiers of suppliers must adhere to our Code of Conduct. Aevum Zenth reserves audit rights over direct and indirect supply chains.
- Engaging vendors with unresolved sanctions, ESG failures, or human rights violations.
- Bypassing approved procurement portals for contract execution.
- Accepting vendor-provided consulting or travel without documented business necessity.
- Single-source dependencies without contingency planning or market justification.
10. Reporting & Whistleblower Protection
Employees are encouraged and protected when reporting suspected violations. All reports are investigated by the independent Global Ethics Office.

11. Enforcement & Disciplinary Actions

- Moderate/Repeated: Demotion, suspension without pay, bonus clawback, contract termination.
- Severe/Malicious: Immediate termination, civil recovery of damages, criminal referral, permanent exclusion from Aevum Zenth ecosystem.
Senior leadership violations trigger automatic escalation to the Board Audit & Compliance Committee.
