Division-Specific Terms & Conditions
This document outlines the division-specific contractual terms, regulatory frameworks, and operational policies governing engagements with Aevum Zenth Conglomerate's operating subsidiaries. By accessing, utilizing, or transacting with any division of Aevum Zenth, parties acknowledge acceptance of the corresponding terms herein.
Note: Division-specific terms supersede general corporate policies where explicitly stated. Cross-divisional synergies do not alter liability boundaries or jurisdictional compliance requirements.
1. Scope & Applicability
These terms govern all energy production, transmission, storage, and transition technology services provided by Aevum Energy & Power, including solar arrays, fusion research facilities, and grid modernization contracts.
2. Regulatory & Environmental Compliance
All operations adhere to international emissions standards, national grid codes, and IAEA nuclear safety protocols where applicable. Clients must provide site-specific environmental impact assessments prior to deployment.
3. Force Majeure & Grid Instability
Aevum Energy shall not be liable for service interruptions resulting from macro-grid failures, extreme weather events, or government-mandated load shedding. Backup power SLAs apply only to contracted tier-1 infrastructure.
4. Liability & Indemnification
Liability caps are set at 150% of the annual contract value for non-nuclear assets and 200% for advanced fission/fusion installations. Clients indemnify Aevum against third-party claims arising from improper site preparation.

Client data is processed under strict jurisdictional boundaries. Cross-border data transfer requires explicit consent and utilizes AES-256 encryption with zero-knowledge architecture where mandated.
2. AI & Algorithmic Governance
Zenth Digital's AI models operate under auditable decision frameworks. Clients retain full ownership of training data. Model outputs are classified as advisory unless explicitly integrated into automated control systems.
3. Service Level Agreements
Enterprise cloud infrastructure guarantees 99.99% uptime. Credits are applied at 10x the affected runtime for tier-1 outages. Maintenance windows are scheduled with 72-hour notice.
4. Intellectual Property & Derivative Works
Code, architectures, and proprietary algorithms developed by Zenth Digital remain exclusive IP of Aevum Zenth. Custom client modules are licensed non-exclusively to the contracting entity.
1. Export Controls & Dual-Use Restrictions
All aerospace hardware, propulsion systems, and guidance software are subject to strict ITAR and EAR regulations. Unauthorized transfer, reverse engineering, or deployment in sanctioned jurisdictions is strictly prohibited.
2. Mission Assurance & Liability
Launch and orbital services operate under strict mission assurance protocols. Liability for payload loss is capped per launch contract. Aevum assumes no responsibility for third-party satellite collisions or orbital debris impacts.
3. Defense & Government Contracts
Government engagements require facility clearance, personnel vetting, and compliance with DFARS. Classified projects are segregated under air-gapped development environments with zero external connectivity.
4. Termination & Asset Recovery
Contracts may be terminated for material breach or regulatory non-compliance. Proprietary telemetry hardware and guidance modules are subject to immediate secure retrieval upon termination.

All pharmaceutical R&D, gene therapies, and medical devices comply with FDA, EMA, and PMDA regulatory pathways. Clinical trials require IRB approval and informed consent documentation.
2. Patient Data & Telemedicine
Telehealth platforms enforce end-to-end encryption and role-based access controls. PHI storage complies with HIPAA Security Rule. Data retention periods are strictly enforced per jurisdictional mandates.
3. Device Liability & Adverse Events
Zenth Health provides comprehensive post-market surveillance. Liability for device failure is covered under product warranties and mandatory insurance pools. Adverse event reporting must occur within 24 hours of detection.
4. Research Partnerships & IP
Collaborative research agreements define exclusive/non-exclusive licensing rights. Breakthrough therapies developed jointly are subject to revenue-sharing frameworks outlined in Master Service Agreements.

Aevum Capital operates under strict fiduciary standards. Cross-divisional investment opportunities are managed via independent allocation committees to prevent conflicts of interest.
2. Investment Risk & Suitability
All capital products require risk profiling and suitability verification. High-yield and leveraged instruments carry inherent market volatility. Past performance does not guarantee future returns.
3. Anti-Money Laundering & KYC
Strict KYC/AML protocols apply to all onboarding processes. Transactions exceeding threshold limits trigger enhanced due diligence and regulatory reporting under FATF guidelines.
4. Data Privacy & Trading Security
Trading algorithms and portfolio data are isolated in secure financial networks. Market manipulation, insider trading, and spoofing are strictly prohibited and subject to immediate account suspension.
1. Operational Safety & Human-Robot Interaction
All autonomous systems implement fail-safe redundancy and emergency stop protocols. Shared workspace deployments require spatial fencing and proximity sensing calibration.
2. Software Updates & Liability
Over-the-air firmware updates are applied during maintenance windows. Clients assume liability for unauthorized modifications or bypassing safety interlocks.
3. Data Telemetry & Edge Processing
Operational telemetry is processed on-edge by default. Cloud synchronization requires explicit opt-in and undergoes anonymization for fleet optimization analytics.
4. Warranty & Deployment Support
Standard warranties cover mechanical components and core AI modules for 36 months. Extended service agreements include 24/7 remote diagnostics and on-site technician dispatch.
General Conglomerate Framework
Across all divisions, Aevum Zenth Conglomerate maintains unified standards for anti-corruption, ethical business conduct, and environmental stewardship. The AZC Global Code of Conduct applies to all employees, contractors, and affiliated entities regardless of divisional jurisdiction.
Disputes arising under these terms shall first undergo mandatory mediation. If unresolved within 60 days, binding arbitration shall be conducted under ICC Rules in Zurich, Switzerland, unless local jurisdiction mandates otherwise.
By executing agreements with any Aevum Zenth subsidiary, parties acknowledge that divisional terms are incorporated by reference into master service agreements, vendor contracts, and client onboarding documentation.
