Scope & Authority
This Article establishes the exclusive procedures and hierarchical authority required to modify the Aevum Zenth Conglomerate Charter, subsidiary operating mandates, cross-divisional compliance frameworks, and shareholder agreements.
- Board of Directors: Holds sole authority to amend core charter provisions, capital structure definitions, and executive governance clauses.
- Divisional Steering Committees: May propose and ratify operational amendments within their designated industry verticals, subject to legal and cross-divisional impact review.
- Shareholder Assembly: Reserved for amendments affecting equity distribution, dividend policy, dissolution clauses, or jurisdictional restructuring.
Proposal & Review Process
All proposed amendments must originate through the Formal Amendment Submission (FAS) protocol. The review lifecycle includes:
- Submission: Drafted amendment package including rationale, impact assessment, and draft language.
- Legal & Compliance Screening: Mandatory review by the Corporate Legal Department and Compliance Office for regulatory alignment across all 62 operational jurisdictions.
- Cross-Divisional Impact Analysis: Evaluation of synergistic disruptions, resource reallocation requirements, and contractual obligations.
