Governing Law & Jurisdiction

1. Introduction & Scope

This Governing Law & Jurisdiction statement sets forth the legal framework that applies to all interactions, contracts, agreements, digital services, and commercial relationships entered into with Aevum Zenth Conglomerate ("the Company," "we," "us," or "our"). This policy applies to all subsidiaries, affiliates, divisional entities, and authorized partners operating under the Aevum Zenth corporate umbrella globally.

By accessing, using, or engaging with any Aevum Zenth service, platform, product, or commercial offering, you acknowledge that you have read, understood, and agree to be bound by the governing legal principles outlined herein.

2. Applicable Law

All agreements, terms of service, privacy policies, commercial contracts, and digital interactions with Aevum Zenth shall be governed by and construed in accordance with the laws of the Swiss Confederation, without regard to its conflict of law provisions.

In cases where specific divisional operations are subject to mandatory local statutory requirements (e.g., financial regulation, data protection, labor law, or aerospace safety), the applicable national or supranational law shall supplement this governing law to the extent legally required. Where a direct conflict arises between local mandatory provisions and this governing law, the mandatory local provisions shall prevail solely for the affected jurisdiction, without invalidating the remainder of the applicable legal framework.

3. Jurisdiction & Venue

Except where arbitration is expressly mandated under Section 4, any legal action, claim, or proceeding arising out of or relating to your relationship with Aevum Zenth shall be brought exclusively in the federal and cantonal courts located in Geneva, Switzerland.

Both you and Aevum Zenth hereby expressly submit to the personal jurisdiction and venue of these courts and waive any objection to venue, forum non conveniens, or inconvenient forum.

Convenience Note: For B2B clients operating under master service agreements (MSAs) signed in jurisdictions outside the European Economic Area, alternative venue provisions may be negotiated and documented in the executed contract annexes.

4. Dispute Resolution Mechanism

Before initiating formal litigation, both parties agree to pursue good-faith negotiation and structured mediation through the Swiss Chambers of Commerce International (CCIA) or a mutually agreed alternative dispute resolution (ADR) provider.

4.1 Arbitration for Commercial Contracts

For commercial, enterprise, and cross-border B2B agreements exceeding CHF 500,000 in annual value, any unresolved dispute shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce (ICC) by three arbitrators appointed in accordance with said rules. The language of arbitration shall be English. The seat of arbitration shall be Geneva, Switzerland.

4.2 Consumer & End-User Disputes

For individual consumers, end-users, or non-enterprise clients, disputes shall be resolved through binding arbitration administered by JAMS or AAA (depending on geographic location) or through the relevant consumer protection tribunal in your jurisdiction, where legally mandated. Class action waivers do not apply where prohibited by applicable local law.

5. Severability

If any provision of this Governing Law statement, or its application to any person or circumstance, is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The parties agree that the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

6. Amendments & Updates

Aevum Zenth reserves the right to modify, update, or replace this Governing Law statement at any time to reflect changes in corporate structure, regulatory environments, or international legal standards. Material changes will be communicated via email to registered business contacts and published on this page with an updated "Last Updated" date. Continued use of our services following such updates constitutes acceptance of the revised terms.

7. Intellectual Property & Proprietary Rights

All intellectual property, trade secrets, proprietary algorithms, divisional patents, trademarks, and confidential methodologies developed or utilized by Aevum Zenth and its subsidiaries remain the exclusive property of the Company. No license or right is granted except as expressly stated in written agreements. Any unauthorized reproduction, reverse engineering, or exploitation of Aevum Zenth proprietary assets shall be pursued under applicable Swiss and international intellectual property law.
