1. Scope & Applicability

This Limitation of Liability statement governs all interactions, transactions, services, products, digital platforms, and contractual relationships involving Aevum Zenth Conglomerate ("AZC", "we", "our"), including but not limited to its 400+ operating subsidiaries, divisional entities, joint ventures, and authorized agents. By accessing, using, or contracting for any AZC offering, you acknowledge and agree to these terms.

2. Disclaimer of Warranties

Unless explicitly stated in a separate, signed commercial agreement, all AZC products, services, software, hardware, data feeds, and digital infrastructure are provided on an "AS IS" and "AS AVAILABLE" basis. AZC expressly disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted operation.

Given the highly technical, experimental, or mission-critical nature of certain divisional offerings (e.g., aerospace propulsion, quantum computing interfaces, clinical trial data, or energy grid optimization), you acknowledge that performance may vary based on external conditions, regulatory environments, and integration requirements.

3. Limitation of Damages

To the maximum extent permitted by applicable law, AZC's aggregate liability for any claim arising out of or related to our services, products, or this policy shall not exceed the greater of: (a) the total fees paid by you to AZC for the specific service or product giving rise to the claim during the twelve (12) months preceding the claim, or (b) Five Hundred United States Dollars (USD $500.00).

This cap applies regardless of the legal theory asserted, including breach of contract, negligence, strict liability, misrepresentation, or other tortious conduct.

4. Indirect & Consequential Damages

In no event shall Aevum Zenth Conglomerate, its board of directors, officers, employees, subsidiaries, affiliates, or agents be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to:

  • Lost profits, revenue, or business opportunities
  • Data loss, data corruption, or unauthorized access
  • Business interruption, downtime, or productivity loss
  • Cost of procurement of substitute goods or services
  • Reputational harm or goodwill impairment

This exclusion applies even if AZC has been advised of the possibility of such damages and regardless of whether the remedy fails its essential purpose.

5. Corporate Structure & Separate Liability

Aevum Zenth Conglomerate operates through a legally distinct holding and subsidiary structure. Each division (e.g., Aevum Energy, Zenth Digital Systems, Aevum Capital Group, etc.) may operate as a separate legal entity. Unless expressly agreed in writing, liability shall not be joint or several across the AZC corporate family. Claims against one division or subsidiary shall not impose liability on the parent holding company or other unrelated divisions.

6. Third-Party Services & Integrations

AZC platforms may incorporate, interface with, or redirect to third-party APIs, marketplaces, logistics networks, or partner ecosystems. AZC does not endorse, guarantee, or assume liability for third-party content, availability, security, or compliance. All third-party interactions are governed by their respective terms, and any disputes arising therefrom shall be directed exclusively to the third-party provider.

7. Governing Law & Dispute Resolution

This limitation of liability shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising under or relating to this policy shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in New York City, waiving any right to class action proceedings. Where arbitration is legally prohibited, exclusive jurisdiction shall reside in the state or federal courts located in New York County, New York.
