The Code is not merely a regulatory requirement; it is a strategic imperative that safeguards our reputation, mitigates operational risk, and fosters a culture of trust across every industry we serve.
Adherence to this Code is mandatory. Ignorance of its provisions does not constitute a defense. All personnel are required to read, understand, and apply these principles to their daily responsibilities.

3. Workplace Conduct & Respect
3.1 Anti-Harassment & Discrimination
Aevum Zenth maintains a zero-tolerance policy toward harassment, discrimination, or retaliation based on race, ethnicity, gender, age, religion, disability, sexual orientation, national origin, or any other protected characteristic. This applies to interactions with colleagues, clients, vendors, and partners.
3.2 Health, Safety & Wellbeing
Every division must maintain workplace environments that comply with local occupational health and safety regulations. Management is required to address reported hazards promptly. Employees are authorized to halt operations they reasonably believe pose imminent danger.
3.3 Substance & Mental Health
The use of illegal substances or impairment while on duty is strictly prohibited. Aevum Zenth provides confidential EAP (Employee Assistance Program) resources for mental health, counseling, and workplace stress management.
4. Conflicts of Interest
A conflict of interest occurs when personal interests, external relationships, or secondary employment interfere with, or appear to interfere with, the duties owed to Aevum Zenth.
- Disclosure: All potential or actual conflicts must be reported to the Compliance Office within 5 business days of awareness.
- Outside Employment: Dual roles are permitted only if pre-approved, non-competing, and disclosed in writing.
- Gifts & Entertainment: Accepting or offering gifts exceeding $150 USD in value is prohibited. Nominal promotional items and customary business meals are acceptable if documented.
- Related-Party Transactions: Contracts involving family members, personal investors, or affiliated entities require independent valuation and Board-level approval.
5. Financial Integrity & Reporting
5.1 Accounting Standards
All subsidiaries must maintain accurate, complete, and timely financial records in accordance with IFRS/GAAP and internal control frameworks. Material misstatements, off-book accounts, or unauthorized journal entries are strictly prohibited.
5.2 Insider Trading & Market Abuse
Employees possessing material non-public information (MNPI) are prohibited from trading securities, tipping others, or making investment recommendations based on that information. Trading blackout periods and pre-clearance protocols apply to executives and sensitive roles.

7. Anti-Corruption, Bribery & Compliance

No payment, facilitation, or kickback may be offered to public officials, state-owned enterprise representatives, or private parties to secure business advantage.
