Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using any digital platforms, software, B2B portals, consumer products, or services operated by Aevum Zenth Conglomerate or its subsidiaries (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, you must discontinue use immediately.

2. Definitions & Scope

For the purposes of these Terms, the following definitions apply:

• Aevum Zenth / The Group: Refers to Aevum Zenth Conglomerate and all its wholly-owned or majority-controlled subsidiaries, divisions, and affiliated entities globally.
• Services: Encompasses all software applications, APIs, web platforms, B2B procurement portals, consumer marketplaces, SaaS offerings, hardware ecosystems, and related support services provided by the Group.
• User: Any individual, legal entity, or representative accessing or utilizing the Services.

These Terms govern all interactions with the Group unless explicitly superseded by a signed master service agreement, enterprise contract, or specific divisional terms.

3. Use of Services & Platforms

Subject to compliance with these Terms, Aevum Zenth grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes. Certain Services may require registration, authentication, or enterprise verification. You are responsible for maintaining the confidentiality of all credentials and for all activities occurring under your account.

4. Intellectual Property Rights

All content, trademarks, service marks, logos, software architecture, proprietary algorithms, documentation, and design elements hosted on or transmitted through the Services are the exclusive property of Aevum Zenth Conglomerate or its licensors. Nothing in these Terms transfers ownership of any intellectual property to you. Unauthorized reproduction, distribution, or reverse engineering is strictly prohibited.

5. User Conduct & Restrictions

You agree not to, and will not assist any third party to:

• Use the Services for unlawful, fraudulent, or harmful purposes
• Attempt to bypass security controls, authentication mechanisms, or rate limits
• Scrape, crawl, or extract data at scale without explicit written consent
• Transmit malware, exploit vulnerabilities, or disrupt system integrity
• Misrepresent your identity or organizational affiliation

Violations may result in immediate suspension, legal action, and cooperation with relevant authorities.

6. Data Privacy & Security

Your privacy is fundamental to our operations. Data collection, processing, storage, and sharing are governed by our Privacy Policy and applicable data protection regulations (including GDPR, CCPA, and regional frameworks). 7. Limitation of Liability

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by law, Aevum Zenth Conglomerate and its subsidiaries, officers, and affiliates shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages arising from your use or inability to use the Services.

8. Indemnification

You agree to indemnify, defend, and hold harmless Aevum Zenth Conglomerate, its subsidiaries, directors, employees, and partners from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, misuse of the Services, or violation of applicable laws or third-party rights.

9. Termination & Suspension

Aevum Zenth reserves the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without prior notice. Upon termination, your license rights will cease, and you must discontinue all use of the Services. Provisions that by their nature should survive termination (including IP, liability, indemnification, and governing law) shall remain in effect.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes will be settled through binding arbitration in accordance with the American Arbitration Association’s Commercial Arbitration Rules, or in a court of competent jurisdiction in Delaware.

11. Modifications & Updates

Aevum Zenth reserves the right to modify these Terms at any time to reflect changes in our Services, business practices, or legal requirements. Material changes will be communicated via platform notice, email, or prominent banner. Continued use following the effective date of revised Terms constitutes acceptance.
