The Board of Directors and Executive Leadership are unequivocally committed to conducting all business activities with the highest standards of integrity, transparency, and accountability.

This policy applies to all employees, contractors, subsidiaries, joint venture partners, board members, and third-party agents acting on behalf of Aevum Zenth worldwide.

Compliance is not optional. Ethical conduct is a fundamental condition of employment and partnership with Aevum Zenth. Failure to adhere to these standards will result in disciplinary action, up to and including termination of employment or business relationships.

3. Standards of Conduct

Employees must avoid situations where personal interests conflict, or appear to conflict, with the interests of Aevum Zenth. This includes outside employment, financial investments, family relationships, and gifts. All potential conflicts must be disclosed to the Ethics Office and approved before engagement.

3.2 Anti-Corruption & Bribery

Aevum Zenth maintains a zero-tolerance policy toward bribery, kickbacks, facilitation payments, and improper gifts. We comply with the U.S. Foreign Corrupt Practices Act (FCPA), UK Bribery Act, and all local anti-corruption statutes.

3.3 Data Privacy & Security

We safeguard confidential customer, employee, and proprietary data in accordance with GDPR, CCPA, and internal security protocols. Unauthorized access, sharing, or misuse of data is strictly prohibited.

3.4 Fair Competition

When local customs conflict with this policy or applicable law, Aevum Zenth standards prevail.

All subsidiary entities must maintain compliance programs proportionate to their operational risk profile, including regular audits, training, and documentation.

5. Reporting & Non-Retaliation

Employees and partners are encouraged to report suspected violations promptly. Good faith reports are protected, and retaliation against whistleblowers is strictly prohibited and grounds for immediate disciplinary action.

6. Investigations & Enforcement

All reports trigger a prompt, impartial investigation by the Office of Corporate Compliance or external counsel. Investigations follow due process, respect privacy rights, and maintain confidentiality to the extent possible.

Violations of this policy may result in disciplinary measures including mandatory training, suspension, termination, civil recovery, or criminal referral. Senior leadership and board members are held to heightened standards of accountability.

7. Governance & Oversight

The Aevum Zenth Board of Directors retains ultimate oversight of ethical governance through the Governance & Risk Committee. The Chief Ethics & Compliance Officer (CECO) reports directly to the Board and operates with independent authority across all divisions.

Annual ethics audits, risk assessments, and policy reviews ensure continuous alignment with evolving global standards and operational realities.

8. Acknowledgment & Updates

All personnel must acknowledge receipt and understanding of this policy upon onboarding and annually thereafter. Policy updates are communicated through official channels and take effect as specified. Ignorance of this policy is not a defense for non-compliance.
