Purpose & Scope
The Aevum Zenth Conglomerate Indemnification Policy establishes standardized frameworks for legal protection, financial coverage, and procedural guidelines across all subsidiaries, divisions, and operational jurisdictions. This policy applies to all directors, executive officers, employees, contractors, and authorized third-party agents acting within the scope of their official duties.
Indemnification under this policy is designed to ensure operational continuity, protect good-faith decision-making, and maintain compliance with international corporate governance standards while preserving the conglomerate's fiduciary responsibilities.
Definitions
- Covered Individual: Any director, officer, employee, or contracted agent of Aevum Zenth or its subsidiaries.
- Indemnifiable Claim: Legal proceedings, investigations, or regulatory inquiries arising from actions taken in an official capacity.
- Advancement: Pre-judgment reimbursement of legal costs, subject to undertakings for repayment.
- Excluded Conduct: Actions involving fraud, willful misconduct, gross negligence, or intentional breach of fiduciary duty.
Corporate Indemnification Standards
Aevum Zenth shall indemnify Covered Individuals against reasonable expenses, judgments, fines, and settlement amounts incurred in connection with Indemnifiable Claims, provided such individuals acted in good faith and in a manner they reasonably believed to be in the best interests of the conglomerate.

Third-Party & Vendor Provisions
Contracts with external partners, suppliers, and technology vendors must include mutual indemnification clauses addressing intellectual property infringement, data breaches, regulatory non-compliance, and bodily injury or property damage arising from service delivery.
Standard vendor agreements will reference AZ-IND-2026-V3 as the master framework. Deviations requiring coverage extensions or mutual hold-harmless provisions must be approved by the Office of General Counsel.
Claims Procedure & Reporting
All potential indemnification claims must be reported within 14 business days of service of process, regulatory notice, or formal threat of litigation. Late notifications may result in delayed advancement or partial coverage denial.

Self-insured retentions and deductible structures vary by division and geographic jurisdiction. Claims managers will coordinate with Aevum Energy, Zenth Digital Systems, and subsidiary risk officers as applicable.
Limitations & Exclusions
Indemnification shall not apply to:
- Criminal penalties arising from personal gain, fraud, or securities violations
- Claims resulting from gross negligence or reckless disregard of established safety protocols
- Unauthorized engagements outside delegated authority matrices
- Antitrust, environmental, or export control violations involving intentional concealment
Coverage limitations are subject to annual actuarial review and may be adjusted based on global risk exposure, regulatory changes, or subsidiary performance metrics.
Governance & Review
This policy is administered by the Office of General Counsel in coordination with the Risk Management Directorate. Amendments require board resolution and must be published with a 60-day transition window for active agreements.
All divisional legal teams must maintain alignment with this master policy. Local statutory requirements that exceed Aevum Zenth's baseline protections may be adopted without prior approval. Restrictions that fall below baseline standards require escalation to the Board Risk Committee.
