1. Acceptance of Terms
By accessing or using CloudNexus' cloud infrastructure, hosting, CDN, managed databases, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
CloudNexus reserves the right to modify these Terms at any time. Continued use of the Services following the posting of changes constitutes your acceptance of those changes.
2. Description of Services
CloudNexus provides enterprise-grade cloud computing, virtual private servers (VPS), container orchestration (Kubernetes), global content delivery networks (CDN), managed databases, object storage, and related infrastructure tools. Services are delivered on a best-effort basis unless explicitly covered by a separate Service Level Agreement (SLA).
Service features, pricing, and availability may change as CloudNexus continues to innovate. We reserve the right to introduce new features, retire legacy components, or modify infrastructure configurations to improve performance, security, or reliability.
3. User Accounts & Security
To access certain Services, you must create a CloudNexus account. You are responsible for maintaining the confidentiality of your credentials, including API keys, tokens, and MFA devices. You agree to:
- Provide accurate and complete registration information
- Immediately notify CloudNexus of any unauthorized use or security breach
- Accept responsibility for all activities that occur under your account
CloudNexus implements industry-standard security measures, but cannot guarantee absolute protection against all threats. Users are strongly encouraged to enable two-factor authentication (2FA) and follow security best practices.
4. Billing & Payments
Services are billed on a pay-as-you-go, monthly, or annual basis as selected during provisioning. All fees are listed in USD unless otherwise specified. Taxes, VAT, or government levies are your responsibility and may be collected separately.
Refunds are processed according to our Refund Policy. Unused credits may be carried forward or forfeited depending on the billing cycle and service type.
5. Acceptable Use Policy
You agree not to use CloudNexus Services for any unlawful, fraudulent, or harmful purposes. Prohibited activities include, but are not limited to:
- Hosting or distributing malware, ransomware, or phishing content
- Launching DDoS attacks, port scans, or network abuse
- Mining cryptocurrency without explicit written permission
- Violating intellectual property, copyright, or privacy laws
- Running workloads that exceed allocated resources or degrade shared infrastructure
CloudNexus may suspend or terminate services immediately if Acceptable Use violations are detected. Repeated or severe violations may result in permanent account closure and legal action.
6. Service Availability & SLA
CloudNexus aims to maintain 99.999% uptime for eligible enterprise services. Uptime is calculated monthly and excludes scheduled maintenance, force majeure events, and customer-caused downtime.
Detailed SLA commitments, credit eligibility, and measurement methodologies are available in our Service Level Agreement. If uptime falls below the guaranteed threshold, eligible customers may request service credits according to the SLA terms.
7. Intellectual Property
All CloudNexus software, documentation, trademarks, logos, and proprietary technologies remain the exclusive property of CloudNexus or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for internal business purposes.
Customer data, applications, and configurations stored on CloudNexus infrastructure remain your property. CloudNexus will not claim ownership or license to your content except as necessary to provide and improve the Services.
8. Limitation of Liability
To the maximum extent permitted by law, CloudNexus and its affiliates, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising from your use of the Services.
CloudNexus' aggregate liability shall not exceed the total amount paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the incident.
9. Termination & Suspension
You may terminate your account at any time via the CloudNexus dashboard or by contacting support. Upon termination, you are responsible for migrating your data within 30 days. After 30 days, CloudNexus may permanently delete all associated data without notice.
CloudNexus reserves the right to suspend or terminate services immediately for: (a) breach of these Terms or Acceptable Use Policy, (b) non-payment, (c) legal or regulatory requirements, or (d) security threats to our infrastructure or customers.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Wilmington, Delaware, in accordance with the rules of the American Arbitration Association (AAA).
Class action waivers apply. You waive your right to participate in a class action lawsuit or jury trial related to your use of the Services.
11. Changes to Terms
CloudNexus may update these Terms periodically to reflect product changes, legal requirements, or business needs. Material changes will be communicated via email, dashboard notifications, or prominent website banners at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
