Terms of Service
By accessing or using DataPulse Analytics Consulting services, you agree to these Terms of Service ("Terms"). Please read them carefully. If you do not agree, do not use our services.
1. Acceptance & Scope
These Terms govern your relationship with DataPulse. Specific engagements may be subject to separate Statements of Work (SOW) or consulting agreements, which take precedence in case of conflict.
2. Services Description
DataPulse provides advisory, analytics, data engineering, AI/ML development, and strategic consulting services. All deliverables are subject to agreed-upon milestones, data availability, and client cooperation.
3. User Responsibilities
Client must provide accurate, lawful, and complete data required for project execution. Client is responsible for obtaining all necessary consents, licenses, and regulatory approvals for the data shared with DataPulse.
4. Intellectual Property
DataPulse retains ownership of its proprietary methodologies, tools, frameworks, and pre-existing IP. Client retains ownership of raw data and business-specific insights. Custom models and deliverables developed under a paid engagement are licensed to Client per the specific SOW terms.
5. Payment & Billing
Fees are structured as fixed-price, time & materials, or subscription-based per agreement. Invoices are due within 30 days of receipt. Late payments may incur interest at 1.5% per month or the maximum legal rate, whichever is lower.
6. Limitation of Liability
To the fullest extent permitted by law, DataPulse's total liability shall not exceed the total fees paid by Client in the 12 months preceding the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption.
7. Termination
Either party may terminate an engagement with 30 days written notice, subject to completion of active milestones and payment for services rendered. DataPulse may terminate immediately for material breach or non-payment.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.
Data Security & Processing
As an analytics consulting firm, we handle sensitive business data. We implement industry-leading security controls to protect confidentiality, integrity, and availability.
1. Security Measures
- AES-256 encryption for data at rest and TLS 1.3 for data in transit
- Role-based access control (RBAC) and multi-factor authentication (MFA)
- Regular penetration testing, vulnerability scanning, and SOC 2 Type II compliance
- Isolated development environments with zero access to production client data
2. Data Processing Agreements (DPA)
All client data is processed strictly as a Data Processor under our clients' direction. We execute DPAs aligned with GDPR, CCPA, and HIPAA (where applicable). Data is never used for model training or secondary purposes without explicit written consent.
3. Breach Notification
In the event of a confirmed data security incident, we will notify affected clients within 72 hours and take immediate containment, investigation, and remediation actions per regulatory requirements.
