1. Acceptance of Terms
By accessing or using the Env platform, websites, applications, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. Env reserves the right to modify these Terms at any time, and your continued use of the Services following such modifications constitutes your acceptance of the updated terms.
2. Description of Services
Env provides environmental sustainability management software, including but not limited to carbon footprint tracking, energy optimization analytics, ESG compliance reporting, supply chain sustainability mapping, and AI-powered environmental insights. The Services may include cloud-based platforms, APIs, mobile applications, documentation, and related support services. Env may update, modify, or discontinue any part of the Services at any time without prior notice.
3. User Accounts & Responsibilities
To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You must immediately notify Env of any unauthorized use of your account or any other breach of security.
4. Intellectual Property
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, are owned by Env, its affiliates, or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Except as expressly authorized, you may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services.
5. Privacy & Data Handling
Your privacy is important to Env. Our collection and use of personal information is governed by our Privacy Policy. By using the Services, you consent to the collection and use of information in accordance with our Privacy Policy. Env implements industry-standard security measures to protect user data, including encryption, access controls, and regular security audits. You are responsible for ensuring that any environmental data you upload complies with applicable data protection regulations (e.g., GDPR, CCPA).
6. Acceptable Use & Conduct
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.
- Impersonate or attempt to impersonate Env, an Env employee, another user, or any other person or entity.
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.
- Upload or transmit any data that contains viruses, malware, or any other harmful code.
- Scrape, crawl, or otherwise collect information from the Services without explicit written permission.
- Reverse engineer, decompile, or disassemble any software comprising the Services.
7. Termination
Env may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Env and its officers, directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Services;
- Any conduct or content of any third party on the Services;
- Any content obtained from the Services; and
- Unauthorized access, use, or alteration of your transmissions or content.
In no event shall Env's aggregate liability to you for all claims exceed the amount paid by you to Env during the twelve (12) months prior to the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.
9. Governing Law & Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the City of San Francisco and County of San Francisco. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
10. Changes to Terms
Env reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
