10. Governing Law & Jurisdiction

10.1 Applicable Law

All agreements, transactions, and interactions between you and NexusAI (collectively, "Services") shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles. This includes, but is not limited to, the formation, interpretation, performance, and enforcement of these terms, as well as any claims arising out of or relating to them.

10.2 Exclusive Jurisdiction & Venue

You and NexusAI irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California, for any disputes, claims, or proceedings arising out of or relating to these terms, the Services, or your relationship with NexusAI. Each party waives any objection to conducting such proceedings in said courts and agrees not to assert any defense based on forum non conveniens or lack of personal jurisdiction.

10.3 Dispute Resolution & Arbitration

Except as expressly permitted herein, any dispute, claim, or controversy arising out of or relating to these terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in San Francisco, California, by a single arbitrator. The arbitrator's decision shall be final and binding, and judgment may be entered in any court having jurisdiction.

Class Action Waiver: Any arbitration conducted under this provision shall be conducted solely on an individual basis. Class arbitrations, class actions, and representative proceedings are not permitted. If any portion of this arbitration provision is found to be unenforceable, the remainder of this section shall survive, and all disputes shall be resolved in the courts specified in Section 10.2.

10.4 Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY HEREBY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR YOUR RELATIONSHIP WITH NEXUSAI. THIS WAIVER IS KNOWING AND VOLUNTARY.

10.5 Severability

If any provision of this section or the governing terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired. The parties shall negotiate in good faith to replace the invalid provision with a valid one that most closely approximates the original intent.

10.6 International Use

NexusAI's Services are controlled and operated from its facilities in the United States. NexusAI makes no representation that the Services are appropriate or available for use in other locations. Users who access the Services from outside the United States do so on their own initiative and are responsible for compliance with local laws, including but not limited to data privacy and export control regulations.

10.7 Changes to Governing Law

NexusAI reserves the right to modify or update this section and the governing terms at any time. Continued use of the Services following the posting of revised terms constitutes acceptance of those changes. Material changes will be communicated via email or platform notification at least 30 days prior to becoming effective.
