Governing Law & Dispute Resolution

1. Governing Law

This Agreement, including any disputes or claims arising out of or in connection with this Agreement, shall be governed by and construed in accordance with the laws of the State of California, United States of America, without giving effect to any choice or conflict of law rules or provisions that would cause the application of the laws of any other jurisdiction.

StarWave Entertainment is headquartered in Hollywood, California, and all legal matters pertaining to the use of our entertainment services, digital platforms, licensing, and events are subject to California state law.

2. Mandatory Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Arbitration shall take place in Los Angeles, California, unless both parties agree otherwise in writing. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitrator's decision shall be final and binding upon all parties.

3. Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS CONDUCTED PURSUANT TO THIS AGREEMENT SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.

4. Jurisdiction & Venue

To the extent that any dispute is permitted to be litigated in court, you agree that such dispute shall be brought exclusively in the state or federal courts located in Los Angeles County, California. You hereby submit to the personal jurisdiction and venue of such courts and waive any objection to jurisdiction or venue.

5. Intellectual Property & Licensing

All content, including but not limited to films, music, visual effects, animations, event recordings, and digital assets provided by StarWave Entertainment, is protected by intellectual property laws of the United States and international treaties. Any unauthorized use, reproduction, or distribution of StarWave content is strictly prohibited and may result in legal action under applicable copyright, trademark, and patent laws.

Licensing agreements for StarWave content shall be governed separately but remain subject to the governing law provisions outlined herein unless explicitly stated otherwise in the specific licensing contract.

6. Limitation of Liability

To the maximum extent permitted by law, StarWave Entertainment, its affiliates, officers, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the services;
• Any conduct or content of any third party on the services;
• Any content obtained from the services; and
• Unauthorized access, use, or alteration of your transmissions or content.

7. Changes to Governing Law

StarWave Entertainment reserves the right to modify, amend, or replace any part of this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
