Mutual Obligations & Partnership Standards
This document outlines the binding responsibilities, expectations, and collaborative standards between StarWave Entertainment and our clients, partners, contractors, and stakeholders.

StarWave Entertainment is dedicated to delivering exceptional entertainment solutions with transparency, integrity, and industry-leading professionalism. By entering into any engagement, we obligate ourselves to the following:
- Timely Delivery: Adhere to agreed-upon production, event, or content delivery timelines, with proactive communication regarding any unavoidable delays.
- Quality Assurance: Maintain broadcast-grade and industry-standard quality across all visual, audio, technical, and creative outputs.
- Resource Allocation: Assign qualified personnel, technical infrastructure, and creative talent appropriate to the scope of the engagement.
- Transparent Communication: Provide regular progress updates, milestone reports, and accessible points of contact throughout the project lifecycle.
- Compliance & Safety: Operate in full compliance with local, national, and international regulations, including labor laws, safety standards, and content guidelines.
2Your Commitment to StarWave
Successful partnerships require active collaboration. Clients and partners agree to the following obligations:
- Clear Scope Definition: Provide detailed project requirements, creative direction, target audiences, and measurable objectives prior to commencement.
- Timely Feedback & Approvals: Respond to review milestones, script approvals, storyboards, and technical specifications within the agreed timeframe (typically 3-5 business days).
- Material Provision: Supply all necessary assets, licenses, third-party permissions, brand guidelines, and location access required for execution.
- Access & Coordination: Facilitate access to facilities, talent, stakeholders, or venues as outlined in the production schedule or event plan.
- Accurate Information: Disclose any legal restrictions, content sensitivities, or operational constraints that may impact production or distribution.
3Joint Responsibilities & Collaboration
Certain obligations are shared to ensure seamless execution and mutual success:
- Risk Mitigation: Both parties shall maintain appropriate insurance coverage, safety protocols, and contingency plans for live events, on-location shoots, or large-scale productions.
- Dispute Prevention: Establish a primary project liaison on both sides to resolve operational questions, creative adjustments, or logistical conflicts before they escalate.
- Force Majeure Awareness: Acknowledge that neither party shall be held liable for delays or failures caused by events beyond reasonable control (natural disasters, government restrictions, strikes, or global disruptions).
- Sustainability Practices: Collaborate to minimize environmental impact through responsible resource use, waste reduction, and ethical sourcing where applicable.
4Intellectual Property & Confidentiality
4.1 Ownership Rights
Unless explicitly stated otherwise in a written agreement, all pre-existing intellectual property retained by either party remains the sole property of the originating entity. Newly created works, including scripts, footage, music compositions, VFX assets, and event designs, shall be owned as defined in the project-specific licensing or work-for-hire terms.
4.2 Confidentiality
Both parties agree to treat all non-public information, including unreleased content, financial terms, talent contracts, marketing strategies, and technical processes, as strictly confidential. This obligation survives termination of the agreement for a period of three (3) years, or indefinitely for trade secrets.
4.3 Usage Restrictions
StarWave may reference completed projects in portfolios, press materials, or award submissions unless a mutual non-disclosure or exclusivity clause applies. Clients may not re-license, redistribute, or modify StarWave-delivered assets beyond the granted rights without written consent.
5Performance & Quality Standards
All deliverables shall meet the technical and creative specifications outlined in the statement of work. StarWave employs a three-tier quality assurance process:
- Pre-Production Review: Script/plan validation, resource checks, and risk assessment.
- In-Progress Monitoring: Daily/weekly syncs, rough cuts, technical tests, and stakeholder feedback loops.
- Final Acceptance: Delivery of master files, broadcast-ready formats, or executed events against agreed KPIs and sign-off criteria.
Should deliverables fall below specified standards, StarWave will provide complimentary revisions within the original scope. Out-of-scope adjustments will be quoted separately and require written approval.
6Financial & Contractual Terms
Payment schedules, milestone invoicing, and financial obligations shall be governed by the executed service agreement. General standards include:
- Deposit Requirements: A standard 30-50% deposit is required to secure dates, allocate resources, and commence work.
- Net Terms: Invoices are payable within Net 15 or Net 30 days unless otherwise specified. Late payments may incur a 1.5% monthly service charge.
- Expenses & Overages: Pre-approved travel, licensing, location fees, talent compensation, and third-party vendor costs are billed at actuals or as quoted.
- Tax Compliance: Both parties are responsible for their respective tax obligations. StarWave will provide W-9, VAT, or applicable tax documentation upon request.
7Termination & Dispute Resolution
7.1 Termination Rights
Either party may terminate an engagement with thirty (30) days written notice for non-essential projects, or immediately in cases of material breach, insolvency, or safety violations. Work completed up to the termination date shall be compensated at the agreed rate.
7.2 Dispute Resolution
In the event of a disagreement, both parties agree to pursue the following escalation path:
- Direct Negotiation: Good-faith discussion between primary project liaisons (5 business days).
- Executive Mediation: Escalation to StarWave and client leadership for resolution (10 business days).
- Binding Arbitration: If unresolved, disputes shall be settled by neutral arbitration under the rules of the American Arbitration Association, conducted in Los Angeles, California. Litigation shall be a last resort.
8Amendments & Acknowledgment
This framework may be updated to reflect evolving industry standards, regulatory changes, or operational improvements. All amendments require mutual written consent and shall not alter previously completed or financially settled work.
By engaging StarWave Entertainment, executing service agreements, or utilizing our platforms, all parties acknowledge acceptance of these mutual obligations. Continued collaboration signifies ongoing compliance and commitment to shared success.
