1. Acceptance of Terms

By accessing or using the Webui platform, website, applications, or related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, visitors, and anyone else who accesses or uses the Service.

2. Description of Service

Webui provides a visual design-to-code platform that allows users to create, customize, and deploy web interfaces. The Service includes access to components, templates, design tools, hosting infrastructure, and related developer tools. Webui reserves the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. User Accounts & Security

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify Webui immediately of any unauthorized use. Webui reserves the right to suspend or terminate accounts that violate these Terms or pose security risks.

4. Acceptable Use & Prohibited Conduct

You agree not to:

• Use the Service for any illegal, harmful, or fraudulent purpose
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Resell, sublicense, or distribute the Service without explicit written consent
• Use automated systems or bots to access the Service
• Violate any applicable intellectual property or data protection laws

5. Intellectual Property

All content, features, functionality, and materials on the Service, including but not limited to text, graphics, logos, icons, images, software, and the underlying source code, are the exclusive property of Webui or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal or commercial purposes in accordance with these Terms.

6. User Content & License

When you upload, submit, or create content using the Service ("User Content"), you retain ownership. However, you grant Webui a worldwide, non-exclusive, royalty-free license to host, process, display, and distribute your content solely for the purpose of providing and improving the Service. You represent and warrant that you have all necessary rights to grant this license.

7. Payments & Billing

Certain features of the Service require a paid subscription. All fees are billed in advance on a recurring basis. You authorize Webui to charge your designated payment method. Subscription fees are non-refundable except as required by law or as expressly stated in our Refund Policy. You may cancel your subscription at any time through your account settings.

8. Termination

Webui may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately, and we may delete your account and associated data in accordance with our data retention policies.

9. Disclaimers & Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL WEBUI, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class-action lawsuits or class-wide arbitrations.

11. Changes to Terms

Webui reserves the right to update or modify these Terms at any time. We will notify users of material changes via email or through a notice on the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
