01 Acceptance of Terms

Welcome to #divisions ("we," "our," or "us"). By accessing or using our website, software, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

We recommend reading these Terms carefully before using our Services. If you do not agree with any part of these Terms, you may not use our Services.

02 Definitions

For purposes of these Terms, the following definitions apply:

• "Services" refers to all software, applications, APIs, tools, and related technology solutions provided by #divisions.
• "User" means any individual or entity that accesses or uses the Services.
• "Content" means any data, text, code, files, or materials uploaded, stored, or transmitted through the Services.
• "Account" means the registered user profile created to access the Services.
• "Subscription" refers to any paid plan or tier through which you access premium features of the Services.
• "Documentation" means the technical guides, API references, tutorials, and support materials provided by #divisions.

03 Description of Services

#divisions provides a suite of technology solutions designed to help businesses architect, optimize, and scale their digital infrastructure. Our Services may include, but are not limited to:

• System Architecture & Design — Custom infrastructure planning and implementation.
• Cloud & DevOps Solutions — CI/CD pipelines, container orchestration, and infrastructure automation.
• Data Engineering & Analytics — Data pipelines, warehousing, and business intelligence.
• AI & Machine Learning Integration — Model deployment, ML ops, and intelligent automation.
• Cybersecurity Services — Security assessments, monitoring, and compliance frameworks.
• Consulting & Strategy — Technical advisory and digital transformation roadmaps.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

04 User Accounts

4.1 Account Creation

To access certain features, you must create an Account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.

4.2 Account Security

You are responsible for safeguarding your Account credentials. You agree not to share your login credentials with any third party and to notify us immediately at security@divisions.com if you suspect any unauthorized use of your Account.

4.3 Eligibility

You must be at least 18 years old or have the consent of a parent or legal guardian to create an Account. If you are using the Services on behalf of an organization, you represent that you have the legal authority to enter into this agreement on that organization's behalf.

05 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not, and shall not allow any third party to:

• Use the Services to violate any applicable law, regulation, or third-party rights.
• Upload, transmit, or distribute any Content that is unlawful, harmful, threatening, abusive, or defamatory.
• Attempt to gain unauthorized access to any portion of the Services, accounts, or systems connected thereto.
• Reverse engineer, decompile, or disassemble any software components of the Services.
• Use the Services to transmit unsolicited or unauthorized advertising or spam.
• Use the Services in any manner that could disable, overburden, or impair the functioning of the Services.
• Resell or redistribute the Services or any part thereof without prior written consent.

06 Intellectual Property

6.1 Our Rights

The Services, including all software, content, features, functionality, design, text, graphics, logos, and trademarks, are owned by #divisions or its licensors and are protected by intellectual property laws, including copyright, trademark, and patent laws.

6.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your internal business purposes. This license does not include any right to copy, modify, create derivative works from, or exploit the Services beyond the scope of your authorized use.

6.3 Your Content

You retain all ownership rights to the Content you create, upload, or transmit through the Services. By using the Services, you grant us a limited license to store, process, and transmit your Content solely for the purpose of providing the Services. You represent that you have all necessary rights to the Content you upload.

6.4 Feedback

Any feedback, suggestions, or improvements you provide regarding the Services are non-confidential, and #divisions shall be free to use such feedback without compensation or attribution.

07 Data & Privacy

Your privacy is important to us. Our collection, use, storage, and sharing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described in our Privacy Policy.

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

08 Payments & Billing

8.1 Pricing

Pricing for our Services is available at #divisions Pricing. We may adjust pricing with at least 30 days' prior written notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

8.2 Billing Cycle

Subscriptions are billed on a monthly or annual basis, depending on the plan selected. Payment is due in advance at the start of each billing cycle. All fees are exclusive of applicable taxes.

8.3 Payment Method

You are responsible for providing valid and up-to-date payment information. We reserve the right to suspend or terminate access if payment is not received or if your payment method is declined.

8.4 Refunds

Except as required by applicable law, all fees paid are non-refundable. If you believe you are entitled to a credit or refund, please contact support@divisions.com within 30 days of the charge.

8.5 Late Payments

If payment is not received within 15 days of the due date, we reserve the right to charge a late fee of 1.5% per month on the outstanding balance and to suspend access to the Services until payment is received.

09 Service Availability

#divisions aims to provide reliable and uninterrupted access to the Services. However, we do not guarantee that the Services will always be available, uninterrupted, or error-free.

• Planned Maintenance — We will provide reasonable advance notice of any scheduled maintenance that may affect service availability.
• Unplanned Outages — We will make commercially reasonable efforts to resolve any service disruptions as quickly as possible.
• SLA — Enterprise customers may receive a separate Service Level Agreement (SLA) that specifies uptime guarantees and associated credits for non-compliance.

10 Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, #DIVISIONS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Services.
• Any conduct or content of any third party on the Services.
• Any content obtained from the Services.
• Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF $1,000 OR THE TOTAL AMOUNTS PAID BY YOU TO #DIVISIONS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11 Termination

11.1 By You

You may terminate your Account at any time through your account settings or by contacting support@divisions.com.

11.2 By #divisions

We may suspend or terminate your Account and access to the Services at any time, with or without cause, and with or without notice, particularly in cases of:

• Material breach of these Terms.
• Fraudulent or illegal activity.
• Non-payment of fees.
• Extended periods of inactivity.

11.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12 Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. A material revision is any change that significantly affects your rights or obligations under these Terms.

By continuing to use the Services after the revised Terms have been posted, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you should discontinue your use of the Services.

13 Dispute Resolution

13.1 Informal Resolution

We want to resolve disputes amicably. Before initiating any formal dispute resolution process, you agree to contact us at legal@divisions.com to attempt to resolve the matter informally.

13.2 Binding Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION IN ACCORDANCE WITH THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION. THE ARBITRATION SHALL BE CONDUCTED IN SAN FRANCISCO, CALIFORNIA.

13.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR ADJUDICATION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14 General Provisions

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
• Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. No waiver of any term shall be effective unless in writing signed by an authorized representative of #divisions.
• Entire Agreement: These Terms, together with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and #divisions regarding the Services.
• Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. #divisions may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets.
