8.1 Purpose & Scope
This section establishes the standardized procedures, criteria, and protocols governing the termination and suspension of contractual relationships, vendor agreements, partnership licenses, and service access with Aevum Zenth Conglomerate ("the Conglomerate"). These provisions apply uniformly across all divisions, subsidiaries, regional entities, and affiliated organizations operating under the Aevum Zenth corporate umbrella.
Nothing in this section shall limit the Conglomerate's right to enforce remedies available at law or in equity, nor shall it be construed as a waiver of any rights expressly or implicitly granted under applicable governing agreements.
8.2 Definitions
- Contracting Party: Any individual, entity, subsidiary, or third-party organization entering into a legally binding agreement with the Conglomerate.
- Material Breach: A violation of a core contractual obligation that substantially impairs the value of the agreement or compromises operational, financial, or compliance standards.
- Cure Period: The specified timeframe granted to a Contracting Party to remediate identified deficiencies prior to final termination.
- Suspension: A temporary restriction or revocation of access, privileges, or services pending investigation, remediation, or resolution of a dispute.
8.3 Grounds for Termination
The Conglomerate reserves the right to terminate any agreement, immediately or following a cure period, under the following conditions:
- Material Breach: Failure to fulfill core deliverables, payment obligations, regulatory compliance requirements, or confidentiality mandates.
- Insolvency or Bankruptcy: Filing for bankruptcy, assignment for the benefit of creditors, or dissolution proceedings.
- Security Violations: Unauthorized access to corporate networks, intellectual property theft, or compromise of sensitive operational data.
- Reputational or Ethical Violations: Conduct that materially damages the Conglomerate's brand integrity, violates the Code of Business Conduct, or contravenes applicable anti-corruption laws.
- Convenience: At the Conglomerate's sole discretion, upon provision of sixty (60) days written notice, provided all outstanding obligations are settled.
Note: Cross-divisional agreements may specify additional termination triggers. Division-specific addenda supersede general provisions where explicitly stated.
8.4 Suspension Protocols
Suspension may be enacted immediately without prior notice when the Conglomerate reasonably determines that continued access poses an imminent risk to operations, safety, data integrity, or legal compliance.
During a suspension:
- All API access, network credentials, and service privileges will be temporarily revoked.
- Ongoing deliverables may be paused pending investigation.
- Financial transactions will be frozen pending compliance verification.
Suspensions are temporary by design and shall transition to either full restoration or permanent termination following the completion of the internal review process outlined in Section 8.7.
8.5 Notice & Effective Dates
All termination and suspension notices shall be delivered via certified electronic mail, registered courier, or through the designated vendor portal. Notices become effective upon confirmed receipt unless a future effective date is explicitly specified.
Where a cure period applies, the Contracting Party must submit documented evidence of remediation to the Conglomerate's Office of Contract Management no later than forty-eight (48) hours prior to the expiration of the cure window. Failure to demonstrate satisfactory remediation will result in immediate termination.
8.6 Consequences & Remedies
Upon termination, the following conditions apply:
- Return of Assets: All proprietary materials, hardware, software licenses, and confidential documentation must be returned or securely destroyed within ten (10) business days.
- Final Settlement: Outstanding invoices will be processed in accordance with the original payment terms, less any applicable penalties, damages, or withheld retainages.
- Survival Clauses: Provisions relating to confidentiality, intellectual property, indemnification, dispute resolution, and compliance obligations shall survive termination indefinitely or for the duration specified in the governing agreement.
- Blacklisting: Parties terminated for cause may be excluded from future procurement cycles across all Conglomerate divisions.
8.7 Review & Appeal Process
Contracting Parties adversely affected by termination or suspension may submit a formal appeal to the Aevum Zenth Ethics & Compliance Board within fourteen (14) calendar days of receiving notice.
Appeals must include:
- A written statement addressing the grounds for action
- Supporting documentation, audit trails, or corrective action plans
- Proposed mitigation strategies and compliance guarantees
The Board will convene a review panel within thirty (30) days and issue a binding determination. During the appeal period, suspension measures may remain in effect unless explicitly stayed by the Board.
8.8 Governing Law & Jurisdiction
This section shall be governed by and construed in accordance with the laws of the Swiss Confederation, without regard to conflict of law principles. Any disputes arising from the interpretation, enforcement, or termination of agreements under this section shall be resolved exclusively through binding arbitration administered by the Swiss Arbitration Centre in Geneva, Switzerland.
The Conglomerate reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm, regardless of the arbitration proceeding.
