Limitation of Liability

This Limitation of Liability clause governs all interactions with Aevum Zenth Conglomerate ("Aevum Zenth", "we", "us", or "our"), including but not limited to our corporate website, digital services, software platforms, API integrations, subsidiary operations, and associated third-party tools. These terms apply to all users, clients, partners, investors, and visitors accessing our digital properties from any jurisdiction.
2. No Warranties
All services, information, software, data, and materials provided by Aevum Zenth are delivered on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Aevum Zenth expressly disclaims all warranties, including but not limited to:
- MERCHANTABILITY and fitness for a PARTICULAR PURPOSE;
- Accuracy, completeness, timeliness, or reliability of any data or content;
- Uninterrupted, secure, or error-free operation of any digital service;
- Compatibility with any specific hardware, software, or network configuration.
3. Exclusion of Indirect & Consequential Damages
In no event shall Aevum Zenth, its directors, officers, employees, subsidiaries, affiliates, agents, or licensors be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages arising from or related to your use or inability to use our services, including but not limited to:
- Loss of revenue, profits, business opportunities, or anticipated savings;
- Loss of data, goodwill, or business interruption;
- Personal injury, property damage, or regulatory fines;
- Any other damages, whether foreseeable or unforeseeable, even if advised of the possibility thereof.
4. Cap on Direct Liability
Notwithstanding any other provision in this agreement, Aevum Zenth's total aggregate liability to you for any direct damages arising out of or relating to our services shall not exceed the greater of:
- One hundred United States Dollars (USD $100.00); or
- The total amount paid by you to Aevum Zenth for the specific service giving rise to the claim in the twelve (12) months immediately preceding the event.
5. Third-Party & Subsidiary Operations
Aevum Zenth operates across 400+ subsidiaries and maintains strategic partnerships with third-party service providers. Our digital platforms may contain links to, or integrations with, external websites, APIs, or services not owned or controlled by Aevum Zenth. We assume no responsibility or liability for:
- The content, privacy practices, or terms of third-party platforms;
- Unauthorized access, data breaches, or service disruptions originating from third-party systems;
- Independent operational decisions made by wholly-owned or majority-owned subsidiaries acting outside direct corporate oversight.
Users are solely responsible for evaluating the risks and ensuring compliance with applicable third-party terms before engaging with external services.
6. User Responsibilities & Compliance
You acknowledge that you are responsible for maintaining the security of your account credentials, ensuring your access devices meet minimum technical requirements, and complying with all applicable local, national, and international laws when using our services. Aevum Zenth shall not be liable for any losses arising from:
- Unauthorized access resulting from user negligence;
- Misconfiguration, misuse, or improper implementation of our services;
- Failure to maintain adequate cybersecurity measures or data backups;
- Violations of regulatory frameworks (e.g., GDPR, CCPA, sector-specific compliance standards).
7. Severability & Governing Law
If any provision of this Limitation of Liability is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, while preserving the original intent. The remaining provisions shall remain in full force and effect. This clause shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles, except where mandatory consumer protection laws of your jurisdiction apply.
8. Modifications & Contact
Aevum Zenth reserves the right to update, modify, or replace this Limitation of Liability at any time. Continued use of our services following the posting of revised terms constitutes acceptance of such changes. We encourage users to review this page periodically for updates.
