Governing Law

1. Applicable Law

These Terms, the membership agreement, and any disputes or claims arising out of or relating to EliteCircle’s platform, services, or website shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to any choice or conflict of law provisions or rules that would require or permit the application of the laws of any other jurisdiction.

2. Jurisdiction & Venue

Any legal suit, action, or proceeding arising out of or related to these Terms, your membership, or your use of the EliteCircle platform shall be instituted exclusively in the federal or state courts located in San Francisco County, California. Both you and EliteCircle hereby irrevocably waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

3. Dispute Resolution

Before initiating any litigation or formal legal proceeding, both parties agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms through good faith negotiations. If the parties are unable to resolve the dispute within thirty (30) days of written notice, either party may initiate formal proceedings in accordance with Section 2 above.

In the event that litigation is permitted under applicable law, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.

4. Severability

If any provision of this Governing Law section or the Terms of Service is held by a court of competent jurisdiction to be contrary to law, the provision shall be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of the Terms shall remain in effect.

5. Waiver of Rights

EliteCircle's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be unenforceable by a court, the remaining provisions of the Terms will remain in effect.
