1. Acceptance of Terms

Welcome to EliteCircle. By accessing, browsing, or subscribing to our platform, courses, community features, or related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional guidelines provided.

If you do not agree to these Terms, you must discontinue use of the Platform immediately. EliteCircle reserves the right to modify these Terms at any time. Continued use following changes constitutes acceptance of the revised Terms.

2. Membership & Subscriptions

EliteCircle operates on a subscription-based membership model. By selecting a plan, you agree to the following:

• Billing & Renewal: Subscriptions are billed automatically on the selected billing cycle (monthly or annually) until cancelled.
• Price Changes: EliteCircle may adjust pricing for new or existing members with at least 30 days' advance notice. Current billing cycles remain unaffected until renewal.
• Free Trials: If a trial is offered, full access is provided during the trial period. Failure to cancel before the trial ends will result in automatic conversion to a paid subscription.
• Refunds: We offer a 30-day money-back guarantee on paid subscriptions, provided less than 20% of available content has been consumed. Refunds are processed within 5-7 business days.

3. User Conduct & Community Guidelines

You are responsible for maintaining the security of your account and all activities that occur under it. You agree to use the Platform solely for lawful purposes and in a manner that does not infringe upon the rights of, restrict, or inhibit anyone else's use of the Platform.

Prohibited conduct includes, but is not limited to:

• Harassment, hate speech, or discriminatory behavior in community forums or live sessions
• Sharing, reselling, or distributing EliteCircle content outside of authorized personal use
• Using automated tools, scrapers, or bots to access or extract data
• Impersonating other users, instructors, or EliteCircle representatives
• Posting malware, phishing links, or unauthorized promotional content

Violations may result in immediate suspension, termination, or legal action at our discretion.

4. Intellectual Property & Content

All course materials, videos, articles, community templates, AI-generated learning paths, branding, and platform functionality are the exclusive intellectual property of EliteCircle or its licensed partners. Content is licensed to you for personal, non-commercial use only and may not be reproduced, distributed, or reverse-engineered without express written consent.

User-generated content (comments, forum posts, project submissions) remains your property, but you grant EliteCircle a worldwide, royalty-free license to display, store, and moderate such content in connection with Platform operations. You affirm that your submissions do not violate third-party rights.

5. Privacy & Data Handling

Your privacy is fundamental to our service. Data collection, processing, storage, and sharing practices are strictly governed by our Privacy Policy. By using EliteCircle, you consent to the handling of your personal and usage data as described therein, including analytics for platform improvement, AI-driven personalization, and subscription management.

6. Disclaimers & Limitations

EliteCircle provides educational content, community networking, and career development tools "as is" and "as available." While we strive for accuracy and quality, we do not guarantee specific outcomes, employment results, or income levels. Educational content should not be construed as professional, legal, or financial advice.

To the fullest extent permitted by law, EliteCircle, its instructors, affiliates, and partners shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Platform.

7. Termination & Cancellation

You may cancel your subscription at any time via your account dashboard. Cancellation takes effect at the end of the current billing period, and access continues until then. EliteCircle reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain dormant for extended periods. Upon termination, your right to access the Platform and its content ceases immediately.

8. Governing Law & Disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding individual arbitration in San Francisco, CA, except where prohibited by law. Class actions and jury trials are waived.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
