Affiliate Program Terms & Conditions

Welcome to the EliteCircle Affiliate Program. These Terms & Conditions ("Terms") govern your participation in our affiliate marketing program. By accessing, using, or promoting EliteCircle products and services as an affiliate, you agree to be bound by these Terms. If you do not agree to these Terms, do not participate in the program.

2. Eligibility

To qualify for the EliteCircle Affiliate Program, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction).
• Own or operate a website, blog, social media channel, email list, or other digital platform with a minimum of 1,000 active monthly visitors/subscribers.
• Submit a complete application and receive written approval from EliteCircle.
• Comply with all applicable local, state, and federal laws, including advertising and data protection regulations.
• Provide accurate tax and payment information for commission processing.

EliteCircle reserves the right to reject any application or modify eligibility requirements at its sole discretion.

3. Affiliate Responsibilities

As an affiliate, you agree to:

• Promote EliteCircle products and services accurately and truthfully. Do not make false, misleading, or unsubstantiated claims regarding pricing, features, earnings, or outcomes.
• Clearly disclose your affiliate relationship in accordance with FTC guidelines and local advertising laws (e.g., using #ad, #affiliate, or clear textual disclosure).
• Maintain a professional, functional, and legally compliant website or platform.
• Not guarantee specific results, earnings, or success rates for users who sign up through your links.
• Report any technical issues with tracking links or commissions promptly to our affiliate support team.
• Keep your affiliate account information, including contact details and payment methods, current and accurate.

4. Commissions & Payments

Commission Structure: You will earn a recurring commission of 20% of the net revenue generated from qualifying subscriptions referred through your unique affiliate link. Commissions are calculated monthly on a trailing basis.

Qualifying Sales: A sale qualifies if the customer completes a paid subscription through your link and remains active for at least 30 days (free trial conversions count only after trial completion).

Payment Terms:

• Payments are issued on the 15th of each month for the prior month's qualified commissions.
• Minimum payout threshold: $50.00 USD.
• Payout methods: PayPal, Stripe Connect, or direct bank transfer (varies by region).
• EliteCircle reserves the right to withhold payments pending investigation of disputed or fraudulent activity.

Taxes: You are solely responsible for reporting and paying all applicable taxes on commission earnings. EliteCircle will issue 1099 forms (US) or equivalent tax documents where legally required.

5. Tracking & Attribution

EliteCircle uses cookie-based and server-side tracking to attribute conversions to affiliates.

• Cookie Duration: 60 days from initial click. If a user converts within this window, you receive credit.
• Attribution Rules: First-click attribution applies for new customers. Existing EliteCircle customers who renew or upgrade through your link do not generate commissions.
• Tracking Limitations: EliteCircle is not responsible for tracking discrepancies caused by browser privacy settings, ad blockers, cookie deletion, or third-party tracking interruptions. Our records are final.
• Manual Claims: If you believe a conversion was incorrectly attributed, you may submit a claim within 14 days of the conversion date. EliteCircle will review but reserves final determination rights.

6. Prohibited Practices

The following activities are strictly prohibited and may result in immediate termination and forfeiture of commissions:

• Using trademarked terms, "EliteCircle," or related brand names in paid search advertising (PPC) without prior written permission.
• Spamming, email harvesting, or using unauthorized bulk messaging services.
• Creating fake reviews, testimonials, or incentivized sign-ups disguised as organic recommendations.
• Using cloaking, redirection, or deceptive landing pages.
• Promoting EliteCircle on sites hosting malware, adult content, hate speech, or illegal materials.
• Interfering with EliteCircle's tracking systems, cookie data, or payment processing.
• Representing yourself as an employee, partner, or official spokesperson of EliteCircle.
• Scraping, copying, or redistributing EliteCircle's marketing assets, course content, or pricing data without authorization.

7. Brand & Intellectual Property Usage

EliteCircle grants you a limited, non-exclusive, non-transferable license to use our approved marketing materials, logos, and banners solely for the purpose of promoting our affiliate program. You must:

• Use only assets provided through the official affiliate dashboard.
• Maintain brand guidelines: do not alter, distort, or modify logos, typography, or color schemes.
• Acknowledge that all EliteCircle trademarks, service marks, copyrights, and proprietary content remain the exclusive property of EliteCircle.
• Immediately cease use of any materials upon written request or upon termination of this agreement.

8. Termination

By Either Party: Either you or EliteCircle may terminate this agreement at any time, with or without cause, by providing 30 days written notice.

Immediate Termination: EliteCircle may terminate your affiliate account immediately for material breach of these Terms, fraudulent activity, or violation of prohibited practices. In such cases, all outstanding commissions may be forfeited at EliteCircle's discretion.

Post-Termination: Upon termination, all rights to use EliteCircle trademarks, links, and materials cease immediately. You must remove all active affiliate links and promotional content within 7 days. Qualified commissions earned prior to termination will be paid per the standard schedule unless fraud is confirmed.

9. Liability & Indemnification

Independent Contractor: You are an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

Limitation of Liability: EliteCircle shall not be liable for any indirect, incidental, special, or consequential damages arising from your participation in the affiliate program, including lost profits or business interruption.

Indemnification: You agree to indemnify, defend, and hold harmless EliteCircle, its officers, directors, employees, and affiliates from any claims, losses, liabilities, damages, or expenses (including reasonable attorney fees) arising out of your violation of these Terms, your promotional activities, or your breach of any third-party rights.

10. Modifications & Governing Law

EliteCircle reserves the right to modify, suspend, or discontinue the affiliate program or these Terms at any time. Continued participation after changes constitutes acceptance of the revised Terms. We will notify active affiliates of material changes via email or dashboard announcement.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware.
