1. Overview

This section outlines the legal framework that governs your use of the services, platforms, and products provided by That Is A Q ("Company," "we," "us," or "our"). By accessing or utilizing our services, you acknowledge that your relationship with us is subject to the laws and dispute resolution mechanisms described herein. If you do not agree to these terms, please discontinue use of our services immediately.

2. Governing Jurisdiction

These Terms, your use of our services, and any disputes arising out of or related thereto shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms or any transactions involving our services.

Note: Certain consumer protections mandated by your local jurisdiction may still apply to you regardless of the governing law specified above.

3. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services, both parties agree to first attempt to resolve the matter informally through direct negotiation. Either party may initiate this process by sending a written notice to our Legal Department at legal@thatisaq.com.

If the dispute cannot be resolved amicably within sixty (60) days of the initial written notice, the parties agree to proceed to binding arbitration as outlined in Section 4 below.

4. Binding Arbitration

Any dispute not resolved through informal negotiation shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, unless both parties mutually agree to an alternative venue.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. The arbitrator shall have the authority to grant injunctive or declaratory relief on an individual basis consistent with the claims asserted in the arbitration.

5. Class Action & Jury Trial Waiver

By agreeing to arbitrate disputes, you and That Is A Q are both waiving your right to a trial by jury or to participate in a class action lawsuit or consolidated litigation. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

This waiver applies to all claims, whether known or unknown, arising out of or relating to these Terms or your use of our services.

6. Modifications to This Section

That Is A Q reserves the right to modify, amend, or update this Governing Law section at any time. Material changes will be communicated via email and/or a conspicuous notice on our website. Your continued use of our services following the posting of revised terms constitutes your acceptance of such changes.
