At Verdantix, we strive to maintain a positive and cooperative relationship with our clients, partners, and users. While we are confident in the quality of our green technology solutions and services, we acknowledge that disputes may occasionally arise. This section outlines the mandatory procedures for resolving any disagreements between you and Verdantix.
All parties agree to attempt to resolve any dispute informally and in good faith before initiating any formal proceedings, unless otherwise required by law.
If a dispute arises, the aggrieved party must provide the other party with a written Notice of Dispute. This notice must include:

Upon receipt of a Notice of Dispute, both parties agree to engage in a negotiation process to resolve the dispute without formal proceedings. This period shall last for a minimum of 60 days from the date of the notice.
If the parties are unable to resolve the dispute through negotiation within the 60-day period, they agree to submit the dispute to non-binding mediation.
If the dispute is not resolved within 30 days of commencing mediation, either party may proceed to binding arbitration.
Any dispute not resolved through negotiation or mediation shall be settled by binding arbitration administered by the AAA in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator.
You agree that any arbitration shall be conducted only on an individual basis. Class action arbitrations, class actions, and representative proceedings are expressly waived unless all parties and Verdantix expressly agree otherwise in writing.
Notwithstanding the foregoing, either party may bring an individual action in small claims court, if your claim qualifies. Additionally, neither party waives the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property, patents, trademarks, trade secrets, or copyright rights.
Governing Law: This dispute resolution provision and the Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
