Verdantix provides sustainability technology, renewable energy management software, carbon analytics platforms, and related consulting services. Our offerings may include:
- Cloud-based energy monitoring and optimization dashboards
- Carbon footprint calculation and ESG reporting tools
- Renewable energy system integration and hardware monitoring
- Professional sustainability consulting and compliance guidance
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.
3. User Accounts & Access
Certain Services require account registration. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to:
- Provide accurate, current, and complete registration information
- Immediately notify us of any unauthorized access or security breach
- Not share accounts across multiple organizations without written consent
Note: Enterprise and commercial accounts are governed by separate Master Service Agreements (MSAs) which may override these Terms where explicitly stated.
4. Intellectual Property
All content, features, and functionality of the Services, including but not limited to software, algorithms, data models, UI/UX design, reports, and branding, are owned by Verdantix and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for their intended purpose. You may not reverse engineer, reproduce, distribute, or create derivative works from any portion of the Services without explicit written permission.
5. Privacy & Data Security
Your privacy is critical to us. Our collection and processing of personal and operational data are governed by our Privacy Policy, which is incorporated by reference. We implement industry-standard encryption, access controls, and data retention policies to protect your energy metrics, sustainability reports, and account information.
6. Acceptable Use & Restrictions
You agree not to use the Services to:
- Violate any applicable laws, regulations, or international treaties
- Interfere with or disrupt the integrity or performance of the platform
- Use automated scraping, bots, or data extraction tools without authorization
- Misrepresent data for regulatory compliance, carbon credit trading, or ESG disclosures
- Resell or sublicense access to the Services without a commercial partnership agreement
7. Limitation of Liability
To the maximum extent permitted by applicable law, Verdantix and its affiliates, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Services. Our total aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
8. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in San Francisco, CA, in accordance with the rules of the American Arbitration Association. Class action waivers apply where permitted by law.
10. Changes to These Terms
We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on our Services. Your continued use of the Services following the posting of revised Terms constitutes acceptance of those changes. We encourage you to review this page periodically.
