Terms of Service

1. Acceptance of Terms
By accessing or using any CloudNexus services, platform, or infrastructure (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
CloudNexus reserves the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
2. Services Overview
CloudNexus provides enterprise-grade cloud infrastructure, including but not limited to:
- Virtual Private Servers (VPS) and dedicated bare-metal hosting
- Global Content Delivery Network (CDN) and edge caching
- Managed Kubernetes clusters and container orchestration
- Managed databases (MySQL, PostgreSQL, Redis, MongoDB)
- Object storage, load balancers, and DNS management
All services are provided on an as-available basis. CloudNexus does not guarantee uninterrupted or error-free operation, though we strive for industry-leading reliability.
3. Account Registration & Security
To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
Security Notice: CloudNexus uses multi-factor authentication (MFA), encrypted key storage, and automated threat detection. You must enable MFA within 7 days of account creation for all production environments.
4. Acceptable Use Policy
You agree not to use the Service for:
- Illegal activities or promotion of unlawful conduct
- Unauthorized intrusion into networks, systems, or data
- Distribution of malware, ransomware, or phishing materials
- Excessive resource consumption that degrades service for other users
- Violation of applicable export control or trade sanction laws
CloudNexus reserves the right to suspend or terminate accounts violating this policy without prior notice.
5. Billing & Payments
Services are billed according to the pricing page or your enterprise agreement. All fees are in USD unless otherwise specified.
- Payments are processed automatically via credit card or invoice
- Failed payments may result in service suspension after a 72-hour grace period
- Refunds are issued only within 14 days of initial purchase, excluding uptime-related service credits
- Service credits must be applied within 90 days or they expire
6. Data Privacy & Processing
CloudNexus acts as a data processor for content hosted on our infrastructure. We do not claim ownership of your data. All data processing is governed by our Privacy Policy, which outlines data retention, encryption standards, and user rights.
Customers are responsible for backing up their data. CloudNexus performs automated snapshots according to your subscription tier, but disaster recovery of customer content is not guaranteed.
7. Intellectual Property
The Service, including its code, interfaces, documentation, and branding, is owned by CloudNexus and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for lawful purposes during your account term.
8. Limitation of Liability
To the maximum extent permitted by law, CloudNexus shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
Uptime SLAs, if applicable, are subject to the specific Service Level Agreement attached to your subscription and exclude scheduled maintenance, force majeure, or customer-side misconfigurations.
9. Termination
You may terminate your account at any time via the dashboard. CloudNexus may suspend or terminate access for:
- Non-payment after grace period expiration
- Violation of these Terms or applicable law
- Security threats or abuse reports
- Business discontinuation or restructuring
Upon termination, your data will be retained for 30 days before irreversible deletion. A data export will be provided upon request during this window.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration under the AAA Commercial Arbitration Rules, excluding class action waivers.
11. Changes to These Terms
CloudNexus may update these Terms periodically. Material changes affecting billing, liability, or core functionality will be communicated via email and dashboard notifications 30 days prior to生效.
