Governing Law & Jurisdiction

This Governing Law & Jurisdiction section forms an integral part of the LoveLink Terms of Service and User Agreement. By accessing or using the LoveLink platform, including our website, mobile applications, and related services (collectively, the "Service"), you agree to be bound by the legal provisions outlined below.

1. Applicable Law

The interpretation, validity, and enforcement of this Agreement, including the Governing Law clause, shall be strictly governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. Where applicable federal law supersedes state law, the relevant federal statutes shall apply. For users located outside the United States, you agree that the Service is made available to you in compliance with your local jurisdiction's laws, but any disputes arising from this Agreement shall still be adjudicated under Delaware law.

2. Exclusive Jurisdiction & Venue

You expressly consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware, for the resolution of any disputes, claims, or proceedings arising out of or relating to this Agreement, your use of the Service, or any alleged breach thereof. Both you and LoveLink waive any objection to the convenience of such courts.

3. Dispute Resolution & Arbitration

• Arbitration shall take place in Wilmington, Delaware, or at a location mutually agreed upon by the parties.
• The arbitrator shall have the authority to grant any remedy that would otherwise be available in court, including injunctive relief and monetary damages.
• Class action waivers apply: You agree that any arbitration will be conducted on an individual basis only, and not as a class or representative action, unless explicitly permitted by law.
• LoveLink reserves the right to pursue injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of LoveLink's intellectual property, trade secrets, or confidential information.

4. Limitation of Liability

To the fullest extent permitted by applicable law, LoveLink, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service; and
• Unauthorized access, use, or alteration of your transmissions or content.

In no event shall LoveLink's aggregate liability exceed the amount paid by you, if any, to LoveLink during the twelve (12) months preceding the claim.

5. Severability

If any provision of this Governing Law section or the broader Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be changed or interpreted to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.

6. Amendments & Updates

LoveLink reserves the right, at its sole discretion, to modify, replace, or update this Governing Law provision at any time. Material changes will be communicated via email or a prominent notice on the Service. Your continued use of the platform following the posting of changes constitutes acceptance of those changes. We encourage you to review this page periodically for the latest information on our legal framework.

7. Waiver of Rights

By using the LoveLink Service, you acknowledge that you have read this Governing Law & Jurisdiction clause, understand its terms, and voluntarily waive your right to a trial by jury or to participate in a class action lawsuit regarding any dispute between you and LoveLink.
