1 Acceptance of Terms
By accessing, browsing, or using any services, products, platforms, or materials provided by Verdantix ("we," "us," or "our"), including but not limited to our website, software, consulting services, and renewable energy solutions, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree with any portion of these Terms, you must discontinue use immediately.
These Terms constitute a legally binding agreement between you and Verdantix. Certain services may be subject to additional terms, statements, or conditions that may be provided separately at the time of purchase or access.
2 Description of Services
Verdantix provides a suite of sustainability-focused technology and consulting services, including but not limited to:
- Renewable energy system design, deployment, and monitoring (solar, wind, microgrids)
- Carbon footprint analytics, ESG reporting, and AI-driven sustainability dashboards
- Green infrastructure consulting and regulatory compliance advisory
- Smart energy storage integration and IoT-enabled facility management
We reserve the right to modify, suspend, or discontinue any service at any time, with or without notice. We are not liable for any temporary unavailability or modification of services due to maintenance, regulatory changes, or force majeure events.
3 User Accounts & Obligations
To access certain platforms or dashboards, you may be required to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities occurring under your account. You agree to:
- Provide accurate, current, and complete information during registration and when requested
- Use our services solely for lawful purposes and in compliance with all applicable environmental and data regulations
- Refrain from reverse-engineering, scraping, or attempting to gain unauthorized access to our systems or data
- Report any unauthorized use or security breach immediately
4 Intellectual Property
All content, materials, software, algorithms, designs, methodologies, trademarks, and documentation accessible through our services are the exclusive property of Verdantix or our licensors and are protected by intellectual property laws. Limited license is granted solely for internal business use in accordance with your service agreement.
Unauthorized reproduction, distribution, modification, or commercial exploitation of our proprietary materials is strictly prohibited. Your proprietary data remains yours, but you grant us a limited license to process, store, and analyze it solely to deliver the contracted services.
5 Privacy & Data Protection
Your privacy is fundamental to our mission. Our collection, processing, storage, and sharing of personal and operational data are governed by our Privacy Policy, which is incorporated into these Terms by reference. We implement industry-standard encryption, access controls, and compliance frameworks (including GDPR, CCPA, and ISO 27001 standards) to protect your information.
6 Limitation of Liability
To the maximum extent permitted by applicable law, Verdantix and its affiliates, officers, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, energy savings projections, or business interruption, arising from your use or inability to use our services.
Our total aggregate liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the claim. Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages; in such cases, liability is limited only to the extent permitted by law.
7 Indemnification
You agree to indemnify, defend, and hold harmless Verdantix from any claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your violation of these Terms, (b) your use of our services in a manner that violates applicable laws or third-party rights, or (c) your provision of inaccurate data that leads to system miscalibration or compliance reporting errors.
8 Service Availability & Maintenance
We strive for 99.9% uptime for cloud-based monitoring and analytics platforms. Scheduled maintenance will be communicated in advance via email or system notifications. Unscheduled downtime may occur due to hardware failures, cyber incidents, or extreme weather events. We will use commercially reasonable efforts to restore services promptly but make no guarantees regarding continuous availability.
9 Termination
We may suspend or terminate your access to our services immediately, without prior notice, if you breach these Terms or engage in conduct that we reasonably believe poses a security, legal, or reputational risk. Upon termination, your right to use the services ceases immediately. We will provide reasonable access to export your data within thirty (30) days post-termination, subject to applicable data retention laws.
10 Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. Class action waivers do not apply to statutory consumer rights where prohibited by law.
11 Changes to Terms
We reserve the right to modify these Terms at any time to reflect changes in technology, regulatory requirements, or business practices. Material changes will be communicated via email or prominent notice on our platform. Continued use of our services following the effective date of revised Terms constitutes acceptance. The "Last Updated" date at the top of this page indicates when the most recent changes were implemented.
