Governing Law

1. Applicable Law

All agreements, transactions, and interactions between you and VitaWell Health & Wellness ("VitaWell", "we", "our", or "us") shall be governed by and construed in accordance with the laws of the State of Colorado, United States of America, without regard to its conflict of law provisions or principles. This includes, but is not limited to, our Terms of Service, Privacy Policy, and any ancillary agreements formed through the use of our website, applications, or wellness services.

2. Jurisdiction & Venue

Any legal suit, action, or proceeding arising out of or related to these terms, policies, or our services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Colorado, located in the County of Denver. You hereby consent to the personal jurisdiction and venue of such courts, and waive any objection to venue or forum non conveniens.

3. Dispute Resolution

We are committed to resolving any disputes fairly and efficiently. Before pursuing any formal legal action, both parties agree to attempt to resolve the dispute through good-faith negotiation. If a resolution cannot be reached within thirty (30) days of written notice, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration shall take place in Denver, Colorado, and shall be conducted by a single neutral arbitrator. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction. Court-awarded attorneys' fees and costs may be awarded to the prevailing party.

4. Class Action Waiver

Except as otherwise required by applicable law, you and VitaWell agree that any claims or disputes must be brought solely on an individual basis. You expressly waive any right to participate in a class action lawsuit, consolidated proceedings, or representative proceeding against VitaWell. This waiver applies to arbitration and litigation alike.

5. Severability

If any provision of this Governing Law section or any related VitaWell agreement is held to be invalid, illegal, or unenforceable by a court or arbitral tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable. The remaining provisions shall remain in full force and effect unless the court determines that the core intent of the agreement is fundamentally altered, in which case the agreement may be terminated in accordance with applicable law.

6. Modifications & Updates

VitaWell reserves the right to modify, update, or replace this Governing Law policy at any time without prior notice. Material changes will be indicated by updating the "Effective Date" at the top of this page. Your continued use of our website, applications, or services following the posting of any changes constitutes acceptance of those changes. We encourage you to review this section periodically.
