Agreement to Terms of Service
Welcome to Wp Admin. By accessing, registering for, or using our WordPress administration, maintenance, and management services (the "Services"), you agree to be bound by this Agreement to Terms of Service (the "Agreement"). Please read this Agreement carefully. If you do not agree to all terms and conditions, you must not use our Services.
1. Definitions
- "Services" refers to WordPress site management, security monitoring, performance optimization, backup & recovery, plugin/theme updates, and related technical support provided by Wp Admin.
- "Site" means the WordPress website(s) you authorize us to manage, including all associated files, databases, media, and configurations.
- "Client Data" refers to any information, content, media, databases, or credentials provided by you to Wp Admin for service delivery.
- "Subscription" means the paid plan or agreement under which you receive our Services.
2. Services Provided
Wp Admin delivers professional WordPress administration services tailored to your Subscription tier. Services may include, but are not limited to:
- Core, plugin, and theme update management with staging environment testing
- Automated daily/weekly backups with off-site storage
- Firewall configuration, malware scanning, and vulnerability patching
- Performance optimization, caching, and CDN configuration
- 24/7 uptime monitoring and incident response
- Monthly/weekly performance and security reporting
Service specifications vary by plan. Custom configurations, third-party plugin conflicts, or custom-coded themes outside standard WordPress practices may require additional fees or exclusions.
3. Client Responsibilities
You agree to:
- Provide accurate, up-to-date access credentials and server/admin permissions required for service delivery.
- Maintain all hosted content, media, and third-party plugins in compliance with applicable laws and WordPress licensing terms.
- Notify Wp Admin promptly of any suspected security breaches, unauthorized access, or unusual site behavior.
- Ensure that any custom code, themes, or plugins provided to us are properly licensed and free of malicious scripts.
- Maintain an active and valid payment method for your Subscription. Late or failed payments may result in service suspension.
4. Service Level & Uptime
Wp Admin targets a 99.9% uptime guarantee for managed sites, excluding scheduled maintenance, third-party hosting provider outages, DDoS attacks, or force majeure events. Uptime is calculated monthly. If uptime falls below 99.9%, credit remedies may be applied per our SLA policy available in your Client Portal.
5. Intellectual Property
You retain full ownership of your Site, Client Data, and all original content. Wp Admin retains all rights to our proprietary tools, dashboards, methodologies, reporting templates, and internal systems used to deliver Services. This Agreement grants you a limited, non-exclusive license to use service reports and insights solely for your internal business purposes.
6. Privacy & Data Protection
Your use of our Services is also governed by our Privacy Policy. We implement industry-standard security measures to protect Client Data. While we take reasonable precautions, no internet-based service can guarantee absolute security. You acknowledge that you are responsible for maintaining strong, unique passwords and enabling two-factor authentication where available.
7. Limitation of Liability & Indemnification
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WP ADMIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF THE SERVICES.
Our total liability under this Agreement shall not exceed the total fees paid by you during the three (3) months preceding the claim. You agree to indemnify, defend, and hold harmless Wp Admin, its officers, employees, and contractors from any claims, damages, or expenses arising from your breach of this Agreement, misuse of Services, or violation of applicable laws.
8. Termination & Suspension
You may terminate your Subscription at any time through your Client Portal. Termination takes effect at the end of your current billing cycle. Wp Admin reserves the right to suspend or terminate Services immediately if:
- You breach material terms of this Agreement
- Your Site is used for unlawful, malicious, or spam-related activities
- Payment consistently fails after notice
- Security threats compromise our infrastructure or other clients
Upon termination, we will provide final reports and assist with data export for up to 14 days. After 14 days, Client Data may be permanently deleted in accordance with our data retention policy.
9. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of California, USA, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be settled through binding arbitration in Los Angeles, CA, in accordance with the American Arbitration Association rules. Class action waivers apply.
10. Changes to Terms
Wp Admin may update this Agreement to reflect service improvements, legal requirements, or operational changes. We will notify you of material changes via email or Client Portal at least 14 days before the effective date. Continued use of Services after the effective date constitutes acceptance of revised terms. Material changes will be clearly marked with a new Effective Date and Version number.
