These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Wp Admin, Inc. ("Wp Admin," "we," "us," or "our"). By accessing, registering for, or using any of our WordPress administration, management, or related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Services. We recommend reviewing these Terms periodically, as we may update them from time to time.

Agreement to Terms

By creating an account, subscribing to a plan, or otherwise using our Services, you confirm that you are at least 18 years of age or have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account or through a prominent notice on our website. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

Important: If you do not agree with any provision of these Terms, you must discontinue use of our Services immediately. There are no oral modifications or waivers permitted.

Services Description

Wp Admin provides professional WordPress administration and management services. Our Services may include, but are not limited to:

  • Security Management: Firewall configuration, malware scanning, vulnerability assessment, real-time threat monitoring, and security hardening of WordPress installations.
  • Performance Optimization: Speed optimization, caching setup, image compression, database optimization, CDN configuration, and Core Web Vitals improvement.
  • Updates & Maintenance: Safe and tested updates for WordPress core, plugins, and themes using staging environments to prevent downtime or conflicts.
  • Backup & Recovery: Automated scheduled backups with off-site storage, one-click restore functionality, and disaster recovery procedures.
  • Monitoring & Reporting: 24/7 uptime monitoring, performance analytics, security alerts, and detailed periodic reports tailored to your plan.
  • Technical Support: Access to our WordPress specialist support team via ticketing system, email, or phone depending on your subscription plan.
  • SEO & Content Support: Technical SEO configuration, sitemap management, schema markup, and content publishing assistance.

The specific Services included depend on your selected subscription plan. A detailed breakdown of each plan's features is available on our pricing page. We may add, modify, or discontinue any Service at our sole discretion with appropriate notice.

Accounts & Registration

To access our Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Provide truthful and accurate registration information
  • Maintain and update your account information to keep it accurate and current
  • Secure your password and account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account
  • Not share your account credentials with unauthorized third parties

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in any activity that could harm our Services, other clients, or the WordPress ecosystem.

Fees & Payment

Our Services are provided on a subscription basis. Fees are charged monthly or annually depending on the billing cycle you select at the time of purchase.

All fees are non-refundable except as expressly provided in these Terms or required by applicable law. Prices are in USD and may be adjusted with 30 days' notice. You authorize us to charge your payment method on file for recurring billing. If your payment fails, we will attempt to collect within a 7-day grace period. If payment remains unsuccessful, we may suspend Services until payment is received.

Payment Reminder: Failure to maintain current payments may result in service suspension. All fees are subject to applicable taxes where required by law.

Service Level Agreement (SLA)

We are committed to providing reliable and high-quality WordPress management services. Our Service Level Agreement includes the following commitments:

  • Uptime Monitoring: We monitor client sites 24/7/365 and will detect and alert you to any downtime within 5 minutes of occurrence.
  • Response Times: Support response times vary by plan — Starter (24 hours), Professional (4 hours), Enterprise (1 hour).
  • Update Windows: WordPress core and plugin updates will be applied within 72 hours of a stable release for security-critical updates, and within 14 days for non-critical updates.
  • Backup Verification: Backups are verified at least weekly to ensure restorability.
  • Security Patching: Critical security vulnerabilities are addressed within 24 hours of public disclosure.

Exclusions: Our SLA does not cover downtime caused by client-side factors including but not limited to: hosting provider outages, client-installed plugins or themes, malicious activity initiated by the client, or force majeure events.

Security & Backups

Security is a top priority at Wp Admin. We implement industry-standard security measures to protect your WordPress installation, but please note that no system can be guaranteed to be completely impenetrable.

Our security services include:

  • Web Application Firewall (WAF) configuration and management
  • Regular malware and vulnerability scanning
  • SSL certificate monitoring and renewal
  • Login security hardening (two-factor authentication, login attempt limiting)
  • File integrity monitoring
  • Database security optimization

Regarding backups: We perform automated backups according to your plan's schedule. However, we strongly recommend that you maintain your own independent backup copies of critical site data. We are not responsible for data loss resulting from circumstances outside our control, including hosting provider failures, catastrophic hardware events, or client-initiated destructive actions.

Client Responsibilities

While we handle the technical management of your WordPress site, you retain certain responsibilities:

  • Hosting: Unless you purchase hosting through us, you are responsible for maintaining adequate hosting infrastructure and paying your hosting provider directly.
  • Content: You are solely responsible for all content published on your WordPress site, including text, images, videos, and other media. All content must comply with applicable laws and must not infringe on any third-party rights.
  • Legal Compliance: You must ensure your website complies with all applicable laws, regulations, and industry standards, including GDPR, CCPA, accessibility requirements, and copyright law.
  • Plugin Licenses: You are responsible for maintaining valid licenses for all premium plugins and themes installed on your site.
  • Communication: You must respond to our communications in a timely manner, especially regarding security alerts, update approvals, and billing issues.
  • No Unauthorized Modifications: Do not make unauthorized changes to your site's configuration, code, or installed software that could interfere with our management Services.

Critical: Unauthorized modifications to your site may void our support coverage and SLA guarantees. If you need changes made, please submit a support ticket through your dashboard.

Intellectual Property

Our Property: Wp Admin retains all rights, title, and interest in and to our proprietary technology, software, tools, methodologies, reports, documentation, and any other materials provided as part of our Services. The Wp Admin name, logo, and related branding are trademarks of Wp Admin, Inc.

Your Property: You retain all rights to your website content, data, and any intellectual property you create. Nothing in these Terms transfers ownership of your content to Wp Admin. You grant us a limited, non-exclusive license to access, modify, and manage your WordPress site solely for the purpose of providing our Services.

WordPress: WordPress is a registered trademark of the WordPress Foundation. Our Services are not affiliated with, endorsed by, or sponsored by the WordPress Foundation. All WordPress core software is licensed under the GPL v2 or later.

Limitation of Liability

To the maximum extent permitted by applicable law, Wp Admin's total liability to you for any claim arising out of or relating to these Terms or our Services shall not exceed the total amount paid by you to Wp Admin in the 12 months preceding the claim.

In no event shall Wp Admin be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data, website content, or intellectual property
  • Business interruption or loss of goodwill
  • Damage to reputation or relationships with third parties
  • Cost of procuring substitute services

We expressly disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Our Services are provided "as is" and "as available."

Note: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such cases, our liability shall be limited to the maximum extent permitted by law.

Termination

By You: You may terminate your subscription at any time through your dashboard or by contacting our support team. Upon termination, you will lose access to our Services at the end of your current billing period. We do not provide mid-cycle refunds unless required by law.

By Wp Admin: We may suspend or terminate your access to our Services at our sole discretion, with or without cause, and with or without notice, including but not limited to: material breach of these Terms, non-payment, fraudulent activity, or if we discontinue the Services.

Effect of Termination: Upon termination, we will:

  • Immediately cease providing management Services to your site(s)
  • Provide you with access to download your site data and any reports generated during your subscription
  • Remove our monitoring and management scripts within 48 hours
  • Deliver any outstanding reports for the period covered by paid Services

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Dispute Resolution

Informal Resolution: Before pursuing any legal action, you agree to first attempt to resolve any dispute by contacting us at support@wpadmin.com. We will make commercially reasonable efforts to resolve the dispute informally within 30 days.

Mandatory Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Austin, Texas, unless both parties agree otherwise.

Class Action Waiver: You agree that any arbitration or litigation shall be conducted only on an individual basis and not as a class action, consolidated action, or representative proceeding. This waiver applies to class arbitration and court-based class actions.

Injunctive Relief: Nothing in these Terms precludes you from seeking injunctive relief in a court of competent jurisdiction to protect your intellectual property rights or to address imminent harm.

Privacy

Your privacy is important to us. Our collection and use of personal information in connection with our Services is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Services, you consent to:

  • Our access to your WordPress installation for the purpose of providing management Services
  • Collection and processing of server logs, performance metrics, and security data
  • Communication with you regarding your Services, billing, and account matters
  • Use of cookies and similar technologies on our website and client dashboard

We do not sell your personal information. We may share data with third-party service providers necessary for delivering our Services, including backup providers, security tool vendors, and hosting partners, under strict data processing agreements.

Governing Law & Miscellaneous

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Both parties consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas for any disputes not subject to mandatory arbitration.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and Wp Admin regarding the Services and supersede all prior agreements, understandings, and representations.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. Wp Admin may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

Force Majeure: Neither party shall be liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including natural disasters, acts of government, internet infrastructure failures, or pandemics.
