1. Introduction & Acceptance

Welcome to MarketFlow ("we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of the MarketFlow website, mobile applications, and related services (collectively, the "Platform"). By accessing, browsing, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

MarketFlow operates as an online marketplace facilitating transactions between buyers and sellers. We do not manufacture, warehouse, or directly sell products to end users unless explicitly stated on a product page.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or use the Platform. By using our services, you represent and warrant that you meet these requirements and have the legal capacity to enter into binding agreements. If you are using the Platform on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration & Security

To access certain features, you must register an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information.
• Keep your password and login credentials confidential.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use or security breach.

We reserve the right to suspend or terminate accounts that violate these Terms, show fraudulent activity, or remain inactive for extended periods.

4. Marketplace Rules & Conduct

MarketFlow is committed to maintaining a safe, fair, and respectful environment. Users must not:

• Buy, sell, or promote illegal, counterfeit, or stolen goods.
• Engage in fraud, phishing, or unauthorized payment schemes.
• Harass, threaten, or discriminate against other users.
• Manipulate reviews, ratings, or sales metrics.
• Scrape, crawl, or harvest data from the Platform without written consent.

We reserve the right to investigate reported violations and take appropriate action, including content removal, account suspension, or referral to law enforcement.

5. Listings, Products & Services

Sellers are solely responsible for the accuracy, legality, and quality of their listings. Descriptions, images, and pricing must reflect the actual item or service being offered. MarketFlow may remove listings that violate these Terms, applicable laws, or our Community Guidelines.

Product availability is not guaranteed. Prices, availability, and specifications may change without notice. All sales are final unless explicitly stated otherwise in a seller's return policy or required by local consumer protection laws.

6. Payments, Fees & Refunds

MarketFlow may charge fees for transactions, listing promotions, or premium seller tools. Fee schedules are disclosed prior to purchase and may be updated with advance notice. All payments are processed through secure, PCI-compliant third-party payment providers. MarketFlow does not store full credit card numbers.

Refunds and dispute resolutions are governed by the applicable seller policies and local consumer laws. MarketFlow may intervene in disputes at its sole discretion but is not an arbiter of contract disputes between users.

7. Intellectual Property

All content, branding, logos, software, and design elements on the Platform are the exclusive property of MarketFlow, Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without prior written permission.

Our trademarks and trade dress may not be used in connection with any product or service without our express written consent.

8. User Content & Licenses

By posting content (including listings, reviews, messages, or media) on the Platform, you grant MarketFlow a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display such content solely for the purpose of operating, promoting, and improving our services.

You retain ownership of your original content but represent that you hold all necessary rights and that your content does not infringe on any third-party rights or contain malicious software.

9. Disclaimers & Limitation of Liability

AS IS BASIS: The Platform and all services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service.

LIABILITY LIMITATION: To the maximum extent permitted by law, MarketFlow and its affiliates, officers, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use or inability to use the Platform, even if advised of the possibility of such damages.

Our total liability for any claim shall not exceed the amount you paid to MarketFlow in the twelve (12) months preceding the claim.

10. Dispute Resolution & Arbitration

Any disputes arising from these Terms or your use of the Platform shall first be subject to informal negotiation. If unresolved, disputes shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in Wilmington, Delaware, unless both parties agree otherwise.

CLASS ACTION WAIVER: You agree to resolve disputes on an individual basis. You waive any right to participate in a class action lawsuit or consolidated dispute.

11. Changes to Terms

MarketFlow reserves the right to modify these Terms at any time. We will notify users of material changes via email or Platform notice. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms. We encourage periodic review of this page.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Notwithstanding the arbitration provision, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
