1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the VitaWell website, mobile applications, wellness programs, coaching services, and any related offerings (collectively, the "Services"). VitaWell refers to VitaWell Health & Wellness Inc., its affiliates, and operating entities.

By creating an account, making a purchase, or otherwise using our Services, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and legally capable of entering into binding agreements. If you are using the Services on behalf of an organization, you warrant that you have authority to bind that organization to these Terms.

2. Description of Services

VitaWell provides holistic wellness programs that may include, but are not limited to: nutritional counseling, mindfulness and meditation guidance, fitness and movement coaching, mental health support workshops, sleep optimization strategies, and herbal/natural remedy education. Services may be delivered online, in-person, or via hybrid models.

Service availability, pricing, and features are subject to change without prior notice. VitaWell reserves the right to modify, suspend, or discontinue any aspect of the Services at its sole discretion.

3. Health & Wellness Disclaimer

VitaWell explicitly disclaims any liability for adverse effects, injuries, or health complications arising from the use of wellness advice, exercises, dietary recommendations, or supplements discussed in our programs. Participants assume full responsibility for their participation in any physical activities or lifestyle changes recommended through our Services.

4. User Accounts & Registration

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.

Account creation requires a valid email address. Automated registrations or fake accounts are strictly prohibited. VitaWell reserves the right to suspend or terminate accounts that violate these Terms.

5. Permitted Use & Prohibited Conduct

You may use the Services solely for personal, non-commercial wellness purposes in compliance with these Terms. You agree not to:

• Use the Services to resell, redistribute, or profit from our content without explicit written consent
• Misrepresent your identity or forge digital certifications
• Interfere with or disrupt the integrity or performance of the Services
• Collect user data, track members, or engage in unauthorized scraping
• Post or transmit harmful, illegal, defamatory, or sexually explicit material
• Attempt to gain unauthorized access to servers, accounts, or data

Violation of these provisions may result in immediate termination, legal action, and reporting to appropriate authorities.

6. Intellectual Property

All content, materials, graphics, logos, wellness frameworks, course curricula, software, and trademarks displayed on or accessible through the Services are the exclusive property of VitaWell or its licensors and are protected by intellectual property laws. Limited licenses are granted solely for personal use. You may not copy, modify, reproduce, distribute, or create derivative works without prior written authorization.

User-generated content shared in community forums or workshops may be displayed, modified, or archived by VitaWell solely for operational, educational, or community support purposes, subject to our Privacy Policy.

7. Privacy & Data Protection

Your privacy is fundamental to our mission. Data collection, processing, and storage practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect only what is necessary to deliver wellness programs, process payments, and communicate with you. Sensitive health-related information is encrypted and handled in compliance with applicable data protection regulations.

We do not sell or rent your personal information to third parties. Analytics and marketing partnerships use anonymized or aggregated data where permitted by law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, VitaWell, its founders, employees, contractors, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or wellness outcomes, arising from or related to your use of the Services.

Our total aggregate liability for any claim shall not exceed the amount you have paid to VitaWell in the twelve (12) months preceding the claim. Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages, so these limitations may not apply to you.

9. Termination

Either party may terminate this agreement at any time. You may cancel subscriptions or stop using the Services through your account settings or by contacting support. Upon termination, your right to access the Services will immediately cease. Provisions that inherently should survive termination, including intellectual property rights, disclaimers, limitation of liability, and governing law, will remain in effect.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction in which VitaWell operates, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration or exclusive jurisdiction of the competent courts in the specified jurisdiction.

11. Changes to Terms

VitaWell reserves the right to update or modify these Terms at any time. Material changes will be communicated via email or prominent notice on our platform. Your continued use of the Services following the posting of revised Terms constitutes acceptance of those changes. We encourage periodic review of this page.
