By accessing, browsing, or using the EliteCircle website, mobile applications, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Services.

These Terms apply to all users, including visitors, members, subscribers, affiliates, and contributors. By using our Services, you represent that you are at least 18 years of age or have the consent of a parent or legal guardian.

2. Membership & Subscription Services

EliteCircle offers premium membership tiers that provide access to educational content, community features, live sessions, and AI-driven learning tools. All subscriptions are billed on a recurring basis (monthly or annually) until canceled.

2.1 Billing & Payments

Payment is processed securely through our third-party payment processors. By subscribing, you authorize us to charge your designated payment method for the applicable fee. You must maintain accurate and up-to-date payment information.

2.2 Refunds & Guarantees

We offer a 30-day money-back guarantee on all paid subscription plans. Refund requests must be submitted within 30 days of purchase and are subject to our Refund Policy. After the guarantee period, refunds are generally not provided unless required by applicable law.

2.3 Free Trials

Eligible users may access a limited free trial. If you do not cancel before the trial period ends, you will be automatically charged for the selected subscription plan. We will send a reminder notification prior to trial expiration.

3. User Accounts & Security

4. Acceptable Use & Community Guidelines

Our platform fosters a professional, respectful, and inclusive learning environment. When using our Services, you agree not to:

• Post or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory.
• Impersonate any person or entity, or falsely state your affiliation.
• Scrape, crawl, or use automated tools to extract data from the platform.
• Reproduce, distribute, or commercialize EliteCircle content without explicit written permission.
• Interfere with the functionality, security, or performance of the Services.

We reserve the right to remove content, restrict access, or terminate accounts that violate these guidelines at our sole discretion.

5. Intellectual Property

All content hosted on EliteCircle, including but not limited to course materials, videos, text, graphics, AI algorithms, software, logos, and branding, is the exclusive property of EliteCircle or its licensors and is protected by copyright, trademark, and other intellectual property laws.

By subscribing, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the content solely for your personal, non-commercial educational purposes. This license does not include the right to sell, rent, sublicense, modify, or create derivative works.

User-generated content (posts, comments, forum contributions) remains your property, but you grant EliteCircle a worldwide, royalty-free license to display, distribute, and modify such content solely for platform operations and community features.

6. Privacy & Data Usage

Your privacy is important to us. Our collection, storage, and processing of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Services, you consent to our processing of your data for account management, personalized learning recommendations, AI-powered path generation, communication, fraud prevention, and service improvement in compliance with applicable data protection laws (including GDPR and CCPA).

7. Third-Party Services & Links

EliteCircle may integrate with or link to third-party services, including payment gateways, analytics providers, community platforms, and guest instructors. We are not responsible for the content, privacy practices, or terms of these third parties. Your use of third-party services is at your own risk and subject to their respective terms.

8. Termination & Cancellation

8.1 User Cancellation

You may cancel your subscription at any time via your account dashboard or by contacting support. Upon cancellation, access continues until the end of the current billing cycle. No partial refunds are issued for early cancellations outside the 30-day guarantee window.

8.2 Company Termination

We may suspend or terminate your account immediately, without prior notice or refund, if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to access the Services ceases immediately.

9. Disclaimers & Limitation of Liability

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. EliteCircle does not guarantee uninterrupted, error-free, or secure access to the platform.

Educational content is for informational and personal development purposes only and does not constitute professional, legal, financial, or medical advice. You are solely responsible for decisions made based on course materials.

To the fullest extent permitted by law, EliteCircle, its officers, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities, arising from your use of the Services. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which EliteCircle is registered, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Services shall first be subject to informal negotiation. If unresolved, disputes shall be settled through binding arbitration in accordance with the rules of the applicable arbitration association. Class action lawsuits and jury trials are waived to the extent permitted by law.

11. Modifications to These Terms

EliteCircle reserves the right to modify, update, or replace these Terms at any time. Material changes will be communicated via email and/or prominent notice on the platform.
