MarketFlow Seller Agreement

#1. Introduction

Welcome to MarketFlow, the global digital marketplace connecting buyers and sellers across 190+ countries. This Seller Agreement ("Agreement") sets forth the terms and conditions under which you ("Seller," "you," or "your") may list, sell, and distribute products through the MarketFlow platform ("Platform").

MarketFlow provides the technological infrastructure and marketplace services; we do not endorse, sell, or take title to any items listed. You remain solely responsible for the items you list and sell.

By accessing or using the Seller Dashboard, listing products, or processing transactions, you acknowledge that you have read, understood, and agree to be bound by this Agreement, the Terms of Service, and the Privacy Policy.

#2. Seller Account

2.1 Registration

To sell on MarketFlow, you must create a seller account and complete the verification process. You must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

2.2 Eligibility

You represent and warrant that:

• You are at least 18 years old or the age of majority in your jurisdiction.
• You have the legal capacity to enter into binding agreements.
• You are not prohibited by law from selling goods in your jurisdiction or any jurisdiction where you intend to ship.
• You provide valid tax identification and banking information for payouts.

2.3 Account Security

You must promptly notify MarketFlow of any unauthorized use of your account or any other breach of security. MarketFlow is not liable for any loss or damage arising from your failure to maintain account security.

#3. Listings & Inventory

3.1 Accuracy

All listings must accurately represent the items for sale. You must provide:

• High-quality images that accurately show the item.
• Detailed descriptions including condition, dimensions, materials, and any defects.
• Appropriate categorization and tags.
• Accurate inventory counts and pricing.

3.2 Availability

You must ensure that listed items are available for purchase. If an item is no longer available, you must promptly update or remove the listing. MarketFlow may suspend listings that remain unavailable for extended periods.

#4. Fees & Payments

4.1 Commission Fees

MarketFlow charges a commission fee on successful sales. The fee structure is as follows:

4.2 Payouts

Payouts are processed weekly via direct deposit or supported payment methods. Funds are held for 24 hours after delivery confirmation to ensure buyer satisfaction. MarketFlow reserves the right to adjust payout schedules for new sellers or high-risk accounts.

4.3 Taxes

Sellers are responsible for collecting and remitting applicable sales taxes, VAT, or GST as required by local laws. MarketFlow may act as a fiscal intermediary in certain jurisdictions in compliance with marketplace facilitator laws.

#5. Prohibited Items

The following items are strictly prohibited on MarketFlow. Listings violating this section will be removed immediately, and repeated violations may result in permanent suspension:

• Illegal Goods: Items that violate any applicable local, state, or federal law.
• Counterfeit Items: Goods that infringe on intellectual property rights or falsely represent authenticity.
• Weapons & Ammunition: Firearms, explosives, or related accessories (with limited exceptions for collectibles under specific policies).
• Adult Content: Sexually explicit materials or items intended for adult entertainment.
• Services: MarketFlow is a product marketplace. Digital services, consulting, or freelance work are not permitted (unless part of a physical product).
• Recalled Items: Products under official recall by any governmental agency.

#6. Intellectual Property

6.1 Seller Rights

You retain all intellectual property rights to the content you create and upload, including product descriptions and images. MarketFlow does not claim ownership of your content.

6.2 License Grant

By posting content, you grant MarketFlow a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content solely for the purpose of operating and promoting the Platform.

6.3 Infringement

If you believe your intellectual property rights have been infringed on MarketFlow, please submit a report through our IP Complaint Portal. MarketFlow responds to valid DMCA takedown notices in accordance with applicable law.

#7. Seller Conduct

As a MarketFlow seller, you agree to:

1. Respond to buyer inquiries within 24 hours.
2. Ship items within the stated handling time.
3. Use tracked shipping methods for all orders over $10.
4. Honor buyer return requests in accordance with your stated return policy.
5. Maintain a seller rating of at least 4.5 stars. MarketFlow may suspend accounts with consistently low ratings.
6. Avoid practices such as shill bidding, review manipulation, or soliciting off-platform transactions.

#8. Dispute Resolution

8.1 Buyer Disputes

Buyers may initiate disputes for items not received or items not as described. You must respond to dispute notices within 48 hours. MarketFlow may intervene and issue refunds at our discretion if the seller is unresponsive or non-compliant.

8.2 Arbitration

Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in San Francisco, California, unless otherwise required by law.

#9. Termination

You may terminate your seller account at any time through the Seller Dashboard. MarketFlow may suspend or terminate your account immediately if:

• You violate this Agreement or Marketplace Policies.
• Your account is suspected of fraud or security risks.
• MarketFlow discontinues the seller program in your region.

Upon termination, pending orders must still be fulfilled, and outstanding fees remain payable. MarketFlow reserves the right to withhold funds to cover potential refunds or chargebacks for 90 days after termination.

#10. Changes to Agreement

MarketFlow may modify this Agreement at any time. Material changes will be communicated via email or Seller Dashboard notification. Continued use of the Platform after changes constitute acceptance of the updated terms. The "Last Updated" date at the top of this document reflects the most recent revision.
