Creator Agreement
Legally Binding ContractWelcome to RaiseIt. This Creator Agreement ("Agreement") sets forth the terms under which you ("Creator", "you", or "your") may create, manage, and receive funding for projects on the RaiseIt crowdfunding platform. By accessing, using, or submitting a campaign on RaiseIt, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
0 Introduction & Scope
RaiseIt provides a digital marketplace that enables creators to raise funds for creative, technological, social, or entrepreneurial projects from backers worldwide. We act solely as an intermediary facilitator and do not guarantee campaign success, funding levels, or product delivery.
By creating an account and launching a campaign, you enter into this Agreement, which governs your relationship with RaiseIt, our users, and our third-party service providers.
1 Definitions
- "Platform" refers to the RaiseIt website, mobile applications, APIs, and associated services.
- "Campaign" means any project page created by a Creator to solicit funds.
- "Backer" means any individual or entity contributing funds to a Campaign.
- "Funds" means all monetary contributions collected through the Platform.
- "Rewards" refers to any products, services, acknowledgments, or benefits promised to Backers in exchange for their contributions.
- "Processing Fees" means third-party payment gateway charges, chargebacks, and currency conversion fees.
2 Eligibility & Accounts
To create and manage a Campaign, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction).
- Provide accurate, current, and complete registration information.
- Verify your identity, banking, and tax information as required by RaiseIt and applicable laws.
- Not be permanently banned from RaiseIt or any affiliated platform.
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must notify RaiseIt immediately of any unauthorized use or security breach.
3 Campaign Submission
Campaigns are subject to RaiseIt's review process. We reserve the right to reject, suspend, or remove any Campaign that:
- Violates applicable laws, regulations, or this Agreement.
- Contains misleading, fraudulent, or deceptive content.
- Features illegal, dangerous, or prohibited items.
- Lacks a clear, feasible plan for execution and reward fulfillment.
Submission does not guarantee approval. RaiseIt may request additional information, modifications, or documentation before publishing a Campaign.
4 Funding Models
Creators must select a funding model at launch:
- Flexible Funding: You receive all collected Funds regardless of whether your goal is met.
- All-or-Nothing: Funds are only released if you meet or exceed your goal by the deadline. If unmet, all Backers are automatically refunded, and no Funds are disbursed to you.
Once selected, the funding model cannot be changed during the Campaign period.
5 Fees & Payouts
RaiseIt charges a platform service fee of 5% of successfully collected Funds. This fee is deducted automatically before payout.
Additional third-party Processing Fees (typically 2.9% + $0.30 per transaction) are deducted by our payment processor. You are solely responsible for chargebacks, refunds, and currency conversion costs.
Payouts are initiated within 7-10 business days after Campaign completion (or deadline) and successful verification. Funds are transferred to your verified bank account or approved payment method.
6 Intellectual Property
You retain all intellectual property rights to your Campaign content, products, and designs. By posting content on RaiseIt, you grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your Campaign solely for platform operations and marketing purposes.
You warrant that your Campaign does not infringe upon any third-party copyrights, trademarks, patents, or trade secrets. RaiseIt reserves the right to remove content that violates IP laws or receives valid DMCA notices.
7 Creator Responsibilities
You agree to:
- Use collected Funds solely for the purpose described in your Campaign.
- Act in good faith to produce and deliver promised Rewards to Backers.
- Provide regular, transparent updates regarding production progress, delays, or changes.
- Comply with all applicable consumer protection, export control, tax, and product safety laws.
- Refund Backers promptly if you are unable to fulfill your obligations.
RaiseIt is not responsible for manufacturing, shipping, quality control, or backer communications regarding Reward fulfillment.
8 Liability & Indemnification
RaiseIt provides the Platform "as is" and makes no warranties regarding campaign success, backer behavior, or reward delivery. To the maximum extent permitted by law, RaiseIt shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
You agree to indemnify, defend, and hold harmless RaiseIt, its officers, directors, employees, and affiliates from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your Campaign, content, or breach of this Agreement.
- Failure to deliver Rewards or misuse of Funds.
- Third-party claims related to your products, services, or IP.
9 Termination
RaiseIt may suspend or terminate your account or Campaign at any time, with or without cause, and with or without notice. You may terminate this Agreement by closing your account and canceling active Campaigns (subject to existing obligations to Backers).
Termination does not relieve you of obligations accrued prior to termination, including reward fulfillment, refunds, or indemnification responsibilities.
10 Dispute Resolution & Governing Law
This Agreement shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from this Agreement shall first be subject to good-faith negotiation.
If unresolved within 30 days, disputes shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in San Francisco, CA. Class action waivers apply. You waive the right to participate in a class action lawsuit or jury trial.
11 Amendments
RaiseIt reserves the right to modify this Agreement at any time. Material changes will be communicated via email or prominent notice on the Platform. Continued use of the Platform after modifications constitutes acceptance of the updated terms.
Agreement Acceptance
By clicking "Accept & Create Campaign", you acknowledge that you have read, understood, and agree to be bound by this Creator Agreement, along with our Terms of Service and Privacy Policy.
