Terms of Service

1. Introduction

Welcome to MarketFlow. These Terms of Service ("Terms") govern your use of the MarketFlow website, mobile application, and related services (collectively, the "Platform").

MarketFlow acts as an intermediary marketplace connecting Buyers and Sellers. We facilitate transactions but do not set prices, own the goods sold, or act as a party to the contracts between Buyers and Sellers.

2. Definitions

• "User" means any individual who accesses or uses the Platform.
• "Buyer" means a User who purchases products or services on the Platform.
• "Seller" means a User who lists products or services for sale on the Platform.
• "Listing" means the content posted by a Seller describing a product or service available for purchase.
• "Transaction" means the process where a Buyer purchases a Listing from a Seller.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction).
• Have the legal capacity to enter into binding contracts.
• Not be prohibited from using the Platform under applicable laws.

By using the Platform, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

4.1 Registration

Some features require account registration. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4.2 Security

You are responsible for safeguarding your account credentials and for all activities under your account. Notify us immediately of any unauthorized use at security@marketflow.com.

4.3 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other Users, us, or third parties.

5. Code of Conduct

Users must act responsibly and in good faith. MarketFlow fosters a safe and fair environment. You agree to:

• Treat all Users with respect.
• Accurately describe products or services you list.
• Complete transactions in a timely manner.
• Resolve disputes amicably and use our dispute resolution tools when necessary.

6. Prohibited Activities

You agree not to engage in the following activities on the Platform:

• Listing, selling, or purchasing illegal goods, services, or content.
• Engaging in fraud, phishing, or other deceptive practices.
• Circumventing payment systems or attempting to pay outside the Platform to avoid fees.
• Using automated tools (bots, scrapers) to access the Platform without permission.
• Posting infringing content (violating IP rights of others).
• Harassing, intimidating, or threatening other Users.

Violation of these rules may result in immediate account termination and legal action.

7. Intellectual Property

7.1 Our IP

The Platform, including its design, text, graphics, logos, and software, is owned by MarketFlow and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.

7.2 User Content

You retain ownership of content you post (Listings, reviews, etc.). By posting, you grant MarketFlow a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content solely for the purpose of operating and improving the Platform.

8. Listings & Transactions

8.1 Listings

Sellers are responsible for the accuracy of their Listings. MarketFlow does not endorse or verify the quality of Listings but may remove content that appears to violate these Terms.

8.2 Transactions

Transactions are contracts between Buyers and Sellers. MarketFlow is not a party to these contracts and assumes no liability for the performance of Sellers or the satisfaction of Buyers.

8.3 Disputes

If a dispute arises, MarketFlow provides tools for resolution. We may intervene at our discretion to resolve disputes in favor of either party, but such intervention is not guaranteed.

9. Payments & Fees

9.1 Payment Processing

MarketFlow may process payments on behalf of Sellers. Payments are subject to our Payment Policy. Buyers must pay the total price listed at checkout, including taxes and shipping.

9.2 Seller Fees

Sellers may be charged transaction fees, listing fees, or subscription fees as disclosed in the Seller Fee Schedule. Fees are subject to change with notice.

9.3 Refunds

Refund policies are determined by Sellers. If a Seller does not offer a refund policy, general consumer laws may apply. MarketFlow may issue refunds in cases of fraud or policy violation at its discretion.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MARKETFLOW DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MARKETFLOW DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKETFLOW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU HAVE PAID TO MARKETFLOW IN THE PRECEDING 12 MONTHS.

12. Dispute Resolution

12.1 Arbitration

Any dispute arising out of these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Class action waivers apply.

12.2 Small Claims

Either party may bring claims in small claims court if the claim falls within the jurisdiction of such court.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify Users of material changes via email or a prominent notice on the Platform. Continued use of the Platform after changes constitutes acceptance of the new Terms.
